Job Summary The Paralegal/Contract Manager will partner with the General Counsel to drive and oversee goals related to the company’s business and legal needs. This role manages a large and diversified workload supporting Company attorneys and business leaders, requiring a strong understanding of organizational, legal, and business requirements. Under the general direction of the General Counsel, the Paralegal/Contract Manager completes work at an advanced level with minimal attorney revision. Primary focus areas include corporate law, commercial contracts, and intellectual property matters, with additional responsibilities as needed.

Requirements

  • Education: Bachelor’s Degree in business, pre-law, or related field preferred
  • Experience: 5+ years in contract management or assisting legal counsel with business and legal needs
  • Skills: Strong communication and interpersonal skills with the ability to influence at all levels
  • Leadership, problem-solving, and interactive skills
  • Coaching and mentoring capabilities
  • Strong employee engagement skills

Responsibilities

  • Update and maintain Carpenter’s Contract Management GaLexy Database
  • Draft and manage Non-Disclosure Agreements
  • Draft and manage other standard legal agreements and Terms and Conditions
  • Update and maintain records for various U.S. and foreign subsidiaries of Carpenter Technology
  • Draft resolutions for U.S. and foreign subsidiaries as needed
  • Assist with parent and subsidiary Board matters, including drafting resolutions and minutes
  • Assist in updating Company Policies and Procedures
  • Update and maintain Carpenter’s patent and trade secret database
  • Assist with maintaining patent docket portfolio, prosecution of patent applications, and payment of annuities
  • Perform other duties and special projects as assigned by the General Counsel and Company attorneys
