Business Overview The Capital Commitments Group sits within our Global Capital Markets business which in turn is part of the Global Corporate and Investment Banking Group. Our Global Capital Markets business is focused on providing financial solutions across the capital structure. We help clients (including corporates, financial institutions and financial sponsors) raise equity or equity-linked capital or regular-way debt capital raising, in both cases - accessing public markets and private markets or raise acquisition financing (including by way of leveraged buyouts) or liability management or capital structure advisory - we provide an entire suite of services to meet the needs of our clients. The Capital Commitment process is an internal due diligence process that attaches to every Capital Markets transaction. The Capital Commitments Group partners with colleagues in Banking, Global Capital Markets, Risk and Legal to facilitate new business activity while ensuring transactions are structured, documented and executed to Bank of America’s high global underwriting standards and appropriate risk and return parameters. Job Description Every single such Capital markets transaction, prior to being launched to investors in the market, needs to be reviewed for adherence to Bank of America’s policies for diligence, disclosure, and risk. The Capital Commitment function is critical to Bank of America’s Capital Markets operations. As one of the world’s leading banks, Bank of America executes large and highly complex transactions to raise to capital for the liquidity events of its clients. The Capital Commitment process provides due diligence and risk management cover for these transactions. As such this process is critical for allowing Bank of America to maintain its reputation and its long-term institutional relationships with major clients. The role will involve scrutinizing all aspects of a deal including the issuer, business diligence, timing, valuation, deal structure, fees, distribution, legal due diligence, overall disclosure, documentation, etc. with a view to assessing potential risks and liabilities arising from securities underwriting or from capital commitments made by the business. You are expected to have a broad degree of familiarity with various capital market products and markets. With changes in the external environment in which the firm operates – changes in geopolitics, changes in Securities Laws, changing complexity in regulatory compliance and rapidly evolving markets, you are required to remain up-to-date on internal and external developments as well as policies and procedures which govern the Capital Commitment processes, to be able to challenge, guide and direct the teams on various transactions. Individuals in this role are typically Managing Directors.

Requirements

  • 15+ years of experience in Banking / Capital Markets / Corporate Finance/ Securities Law.
  • MBA degree and/or post graduate degree (or equivalent work experience) with relevant expertise with outstanding academic qualifications.
  • Deep understanding of corporate finance, capital structure, capital markets product, credit, modeling and valuation skills and experience.
  • Strong understanding of due diligence processes with a solid foundation in accounting, tax, etc.
  • Strong analytical and numerical skills.
  • Excellent leadership and communication skills.
  • Decision making capability and ability to exercise strong judgment.
  • Strong work ethic, self-motivated, tenacious and able to work with high degree of independence.
  • Ability to effectively interact on multiple deals with multiple teams at the same time.
  • Solution oriented mindset with flexibility to accommodate and manage high volumes when deal volumes increase.
  • Strong team player, willing to assume responsibility to balance workload in a small but extremely senior, highly experienced and cohesive team.
