About The Position

The Legal Operations Manager role reports directly to the Chief Legal Officer and is a high visibility position interacting directly with the CEO and other members of the Executive Leadership team. The role focuses on three key areas: a) primary point person for day-to-day legal department operations including executive support for the CLO and legal leadership team; b) vendor oversight, invoice review and budget setting and management for legal department; and c) key player in management of corporate governance of all public company/SEC requirements and Board of Directors materials and meetings. This is a fully remote position with quarterly travel as needed for legal team and Board of Director’s meetings. The position requires exceptional judgment, responsiveness, discretion, attention to detail, and demonstrated experience supporting public-company governance and SEC processes.

Requirements

  • Bachelor’s degree required
  • Paralegal certificate or equivalent experience
  • 3+ years supporting company executive leadership and/or interacting with Board of Directors
  • Public company experience assisting to fulfill SEC filing requirements (e.g., proxy, 8-K/10-Q/10-K, director/officer questionnaires, etc)
  • Demonstrated experience preparing materials for Board of Directors meetings.
  • Ability to operate effectively in a remote environment, including coordinating across time zones and managing competing priorities with minimal supervision.
  • Strong understanding of legal terminology, corporate governance practices, and document management.
  • Exceptional organizational skills with the ability to handle competing deadlines
  • Sound judgment and discretion to handle sensitive/confidential information or material nonpublic information.
  • Excellent written and verbal communication skills.
  • High proficiency with Microsoft Office Suite and board management software (e.g., Diligent).

Responsibilities

  • Manage complex calendars, schedule meetings, coordinate travel, and handle logistics for the CLO and legal leadership team.
  • Prepare, proofread, and format legal documents, correspondence, presentations, and reports with a high-level of accuracy.
  • Support contract management processes, including routing for review, coordinating signatures, and tracking status.
  • Coordinate Onboarding/Offboarding of department staff.
  • Send and track key agreements and maintain organized records of such executed agreements.
  • Maintain the Legal/Governance corporate calendar and key deadlines
  • Coordinate “From the Desk of CLO” communications
  • Prepare Annual Budget in collaboration with CLO, Internal and External Counsel & Finance
  • Manage the legal department budget, invoice processing, check requests and vendor management.
  • Prepare and submit expense reports and reimbursements.
  • Maintain relationships with all legal vendors.
  • Code projects and route within the Oracle system.
  • Monthly Spend Reconciliation.
  • Maintain Budget Matrix Spreadsheet by Project.
  • Analyze data to prepare real-time dashboard presentations.
  • Assist the Corporate Secretary in planning, organizing, and executing Board and committee meetings.
  • Coordinate planning and scheduling of annual meeting dates.
  • Prepare and assemble Board books, agendas, resolutions, and briefing materials via Diligent.
  • Coordinate distribution and ensure materials are posted accurately and on time.
  • Attend Board meetings and assist with minutes and/or presentation of materials; track action items and follow-ups as needed.
  • Maintain accurate and up‑to‑date corporate records (Board attendance, motions log, resolutions, Board signatures)
  • Serve as the Diligent site administrator (new user requests, password resets, etc.)
  • Support public company disclosure and governance calendars, including coordination and tracking of deliverables for proxy/annual meeting materials and periodic SEC reporting support items (e.g., 8-K, 10-Q, 10-K) in partnership with Legal, Finance, and external counsel.
  • Maintain SEC- and governance-related templates, exhibits, supporting documents, and records; ensure materials are archived and retrievable in accordance with established retention practices.
  • Support compliance with insider trading policies as directed, including distributing blackout notices and coordinating Section 16/insider reporting workflows (e.g., collecting transaction details and tracking filing confirmations).
  • Create and administer D&O questionnaires and annual Board/self-evaluation processes via Diligent; compile outputs for review.
