About The Position

The Board of Directors of National Co+op Grocers (NCG) invites qualified facilitators to submit proposals to provide board facilitation and light governance coaching services. NCG seeks a facilitator who can support effective governance-level dialogue, strengthen board decision-making and help the board remain focused on its strategic and fiduciary responsibilities. The facilitator will work in close collaboration with the board president and designated staff support to ensure meetings are well-designed, inclusive and outcome-oriented, while maintaining appropriate boundaries between governance and management. National Co+op Grocers is a business services cooperative for retail food co-ops located throughout the United States. We represent 168 food independently owned co-ops operating over 230 stores in 40 states with combined annual sales of over $2.8 billion and serving over 1.3 million consumer-owners. NCG provides the capacity of a chain while maintaining the autonomy of each individual co-op. We help unify retail food co-ops in order to optimize operational and marketing resources, strengthen purchasing power and, ultimately, offer more value to food co-op owners and shoppers everywhere. Requirements

  • Experience facilitating nonprofit, cooperative or complex member-based boards
  • Practical familiarity with Policy Governance or similar governance frameworks
  • Strong facilitation, communication and group-process skills
  • Ability to navigate complex group dynamics, disagreement, power differences and cross-cultural dynamics with demonstrated cultural competence and inclusive facilitation skills
  • Equity, Belonging, Inclusion and Accessibility-informed facilitation experience
  • Independence, neutrality and professional judgment
  • Commitment to discretion, neutrality and confidentiality

Responsibilities

  • Collaboration with the board president, executive committee as appropriate, board support staff and CEO to design agendas and clarify desired outcomes
  • Review of relevant governance materials (e.g., bylaws, policies, processes) as needed to support facilitation
  • Assisting in framing issues at the governance and strategic level rather than operational detail
  • Facilitating board meetings, board retreats, workshops and related governance sessions, both in-person and/or virtual
  • Guiding inclusive, structured discussions that support effective decision-making
  • Support of appropriate boundaries between the board's governance role and management's operational role
  • Demonstrating practical familiarity with Policy Governance concepts
  • Applying light, just-in-time governance coaching during sessions as appropriate
  • Support of board discussions related to governance policies
  • Support of clear articulation of decisions, direction and next steps
  • Assisting the board president in identifying follow-up actions or themes for future work, as requested
