About The Position

The Merrimack is seeking an Executive Assistant & Assistant Corporate Secretary to serve a pivotal role supporting the Bank President and the Board of Directors. This position is central to executive leadership support and corporate governance of the organization, requiring a high degree of professionalism, discretion, and independent judgment. This position is responsible for managing complex executive schedules, coordinating high‑level meetings, and serving as a key liaison between executive leadership, the Board of Directors, and internal and external stakeholders. In addition, this role assists with corporate secretarial functions, including preparation of Board and Board Committee materials, meeting minutes, maintenance of corporate records, and support of regulatory and governance requirements. This position is part of an executive administration team and may be required to provide support to the CEO, other affiliate Presidents, Board and Executive/Senior Staff. The successful candidate must be a self‑starter who can work independently, anticipate needs, manage competing priorities, and handle highly confidential and sensitive information with the utmost integrity. This role is integral to ensuring the effectiveness, efficiency, and compliance of Board operations. Requirements

  • Minimum of 3 years of experience in an administrative support role within a professional office environment
  • Proven experience with corporate secretarial duties, including preparing board materials and maintaining a high level of confidentiality
  • Strong organizational skills with the ability to manage multiple priorities and deadlines effectively
  • Ability to travel to attend offsite meetings and functions as required
  • Proficient in Microsoft Office Suite applications including Excel, Word, and Power Point
  • Familiarity with legal and regulatory compliance related to corporate governance
  • Excellent verbal and written communication skills

Responsibilities

  • Serve as a primary liaison to the Board of Directors, facilitating effective communication between the Board, the executive team, and internal or external partners
  • Prepare, review, and distribute Board and Board committee meeting materials, including agendas, minutes, resolutions, and governance documents, in accordance with legal, regulatory, and organizational standards
  • Maintain and safeguard corporate records, governance documents, resolutions, and statutory filings, ensuring accuracy, completeness, and audit readiness
  • Assist in organizing and facilitating Board meetings, shareholder meetings, and other governance‑related events, ensuring all logistical, procedural, and confidentiality requirements are met
  • Provide high‑level administrative support to the Bank President, including managing complex calendars, scheduling, correspondence, budgeting and travel arrangements, with the ability to prioritize independently and exercise sound judgment
  • Oversee the application process, distribution and tracking of the Foundation’s annual grants
  • Act proactively to anticipate executive and Board needs, identify potential issues, and recommend solutions to support efficient decision‑making.
