About this role: Wells Fargo is seeking a highly experienced and commercially minded attorney to join our Legal Department as Assistant General Counsel supporting the Equity Capital Markets (ECM) business. This role will provide strategic legal advice and transactional support across a broad range of capital markets transactions, including IPOs, follow-on offerings, private placements, convertible debt offerings, corporate share repurchases and liability management transactions. In this role, you will: Lead complex initiatives with broad impact and act as a key participant in large scale planning. Handle matters that have a significant impact on the Company's operations, strategies, or profitability. Review and analyze complex large scale or long-term challenges that require in-depth evaluation of multiple factors including intangibles or unprecedented factors Serve as a trusted advisor to senior business leaders and contribute to strategic decision-making. Develop and lead implementation of strategic business initiatives, and lead work team to meet deliverables and drive new initiatives. Provide legal advice and support to the ECM team on a wide range of capital markets transactions. Draft, review, and negotiate underwriting agreements, engagement letters, confidentiality agreements, and other transaction-related documentation. Monitor and interpret legal and regulatory developments affecting capital markets and advise business partners accordingly. Provide substantive legal advice on regulatory and compliance matters, including SEC, FINRA, NYSE/Nasdaq, and global securities laws and regulations. Participate in industry efforts addressing emerging issues. Participate in internal training and policy development initiatives related to capital markets legal issues. Collaborate with internal stakeholders including Compliance, Risk, Investment Banking, and Syndicate to ensure legal and reputational risks are appropriately managed. Develop relationships with and provide guidance to more experienced leadership, including executive officers, on issues that may present legal, regulatory, compliance, or reputational risk to the Company. Partner with business leaders and management of other corporate departments to develop and implement risk management programs. Lead projects, teams or serve as a peer mentor.
