Position Summary: The Director of Compliance & Contract Management is responsible for overseeing the full contract lifecycle, drafting, reviewing, negotiating, and maintaining agreements that support the company’s operations. This role ensures compliance with applicable regulations, including FAR, DFARS, ITAR, and import/export laws and regulations. The ideal candidate has a law degree (JD) and strong business acumen within a manufacturing or industrial environment.

Requirements

  • Juris Doctor (JD) required; active bar membership preferred.
  • Strong understanding of FAR/DFARS, ITAR, and government contracting.
  • 5+ years of experience in contract management or legal compliance, ideally in manufacturing or A&D.
  • Experience with contract lifecycle management (CLM) systems.

Responsibilities

  • Review, draft, and negotiate contracts to ensure compliance with company policies and applicable laws.
  • Interpret and apply federal contracting requirements (U.S. FAR and DFARS provisions) and government acquisition requirements (prime and subcontractors)
  • Manage the end-to-end contract lifecycle (NDAs, customer/supplier agreements, service contracts, etc.).
  • Advise internal stakeholders on contract risk, terms, and obligations, including foreign direct investment requirements, etc.
  • Oversee compliance programs related to Aerospace & Defense (A&D) requirements, including U.S. MIL-SPEC and qualifying activities, ITAR, other export control requirements, and FAA regulations.
  • Support real estate activities such as leases, renewals, and property documentation.
  • Maintain the contract management system and ensure document control and retention.
  • Collaborate cross-functionally with Legal, Supply Chain, Sales, and Operations teams.
  • Provide training and guidance on contracting best practices and compliance requirements.
