SUMMARY: The Deputy General Counsel is a licensed attorney who reports to the General Counsel and has responsibility for assigned legal matters of the corporation, with a strong emphasis on real estate, government service contracts and employment law. Serves as a legal advisor to The Tatitlek Corporation and its subsidiaries and ensures that the corporation is operating within the law and with minimal risk at all times. This position requires an attorney who can multi-task and rapidly address clients’ needs with little supervision or outside support. ESSENTIAL DUTIES AND RESPONSIBILITIES: Supervises Contracts staff and others as assigned. Assumes the duties of the General Counsel when he/she is not available. Recommends and develops legal strategy on various matters. Provides legal, negotiation and/or litigation advice and services in support of said strategy. Prepares legal opinions for the corporation and its subsidiaries. Real Estate experience essential, as candidate will need to be able to read title opinions, confirm land ownership and availability for lease/purchase, draft documents for purchase/sale/lease of real estate, and negotiate agreements with land owners for purchase. Assists with insuring the proper internal controls and compliance programs are in place for the corporations and its subsidiaries, and performs risk assessments as needed on various projects. Participates in the design, development and implementation of corporate policies, procedures and programs and provides guidance on legal matters, regulatory interpretations and on legal implications of all matters. Provides risk management analysis related to general business practices. In conjunction with the General Counsel and senior management team, works to reduce liability and risk through adopting policies that protect the corporation from undue legal exposure. Provides advice on a varied range of legal issues, including contracts, governance and compliance, business development, mergers and acquisitions, employment, technology and litigation management. Develops and implements the legal strategies consistent with the corporation’s strategic plan in conformance with local, state and federal law. Supervises and provides direction to outside counsel and experts as needed. Takes appropriate action to minimize the costs of outside counsel and experts. Prepares contracts, reports, memos, letters, financial statements and other documents, using word processing, spreadsheet, database, or presentation software. Interfaces with regulatory agencies, client agencies, and independent auditors regarding the Company’s legal issues. Assist employees with a broad range of legal issues, including, but not limited to, government and commercial contracting, SBA 8a compliance, prime-subcontractor relationships, native law, acquisitions, employment issues, privacy issues, internal auditing and compliance analysis, real estate, construction bond claims and litigation. Prepares, reviews and/or analyzes legal documents, including briefs, pleadings, appeals, wills, contracts, and real estate transactions. Investigates facts and law of cases to determine causes of action and to prepare or verify pleadings and discovery. Manages program for legal-fees and outside expert billing practices, including budgeting, tracking, and maximizing value. Other duties as assigned.
