About The Position

The Paralegal supports the company’s legal and business functions by managing corporate records, contracts, and regulatory filings. This role assists Pennrose’s Legal and Compliance department with document preparation, entity maintenance, and transactional support while ensuring compliance with legal and corporate requirements. Working closely with internal teams and external partners, the Paralegal helps streamline legal processes and maintain organizational accuracy and efficiency. #IND123

Requirements

  • Associate or Bachelor degree required; Paralegal Certification from an accredited program preferred.
  • 1-5 years of experience as a corporate or business paralegal (law firm or in-house).
  • Strong understanding of corporate law, contracts, and regulatory filings.
  • Excellent written and verbal communication skills.
  • Detail-oriented, organized, and capable of managing multiple priorities.
  • Proficient in Microsoft Office Suite and legal management software (e.g., Lexis Nexis, Pacer, DocuSign, Concur and Yardi).
  • Experience supporting mergers and acquisitions, financing, or real estate transactions
  • Knowledge of compliance frameworks and business licensing.
  • Strong analytical and problem-solving abilities.

Responsibilities

  • Draft, review and organize business contracts, including non-disclosure agreements, vendor agreements, and service contracts.
  • Assist in the formation, dissolution, and maintenance of corporations, LLCs, and other business entities.
  • Prepare and file annual reports, statements of information, and other required corporate filings.
  • Maintain corporate records, minute books, and resolutions.
  • Support mergers, acquisitions, and other corporate transactions by conducting due diligence and managing document checklists.
  • Conduct legal and factual research related to business operations, regulations, and compliance issues.
  • Assist in managing the company’s contract database and track, key dates and obligations.
  • Communicate with state and federal agencies regarding filings and compliance.
  • Support attorneys with document organization, discovery, and preparation for meetings and negotiations.
  • Ensure confidentiality and compliance with data protection and record retention policies.
  • Prepare applicant criminal history reports for review, upload executive approval or denial in Yardi, mail denial letters to applicants.
  • Track employee certified payrolls per Department of Labor regulations.
