About The Position

Our client, an established law firm, is seeking a full-time Corporate Healthcare Paralegal to support its Healthcare Practice Group. This role is ideal for someone who is detail-oriented, proactive, and comfortable managing complex corporate and regulatory work in a fast-paced environment. The position involves supporting attorneys on healthcare transactions, regulatory filings, entity management, and deal closings.

Requirements

  • Bachelor’s degree or Paralegal Certificate from an accredited program.
  • 5+ years of corporate paralegal experience, preferably in a law firm, with substantial exposure to corporate transactions and healthcare regulatory matters.
  • Proficiency in MS Word, Excel, Adobe/Kofax, and legal document management systems.
  • Strong organizational skills and excellent attention to detail.
  • Strong written and verbal communication abilities.
  • Ability to manage deadlines and work efficiently under pressure.
  • Professionalism and discretion when handling sensitive healthcare and corporate information.
  • Experience supporting healthcare transactions and regulatory filings.
  • Familiarity with healthcare laws and regulations (HIPAA, Stark Law, Anti-Kickback Statute, Medicare/Medicaid).
  • Experience preparing healthcare-related contracts and compliance documentation.

Responsibilities

  • Prepare and file corporate formation and governance documents, including UCC filings, articles of incorporation/organization, bylaws, operating agreements, and annual reports.
  • Support attorneys on healthcare-related M&A transactions, joint ventures, affiliations, restructurings, and dissolutions.
  • Conduct due diligence for healthcare transactions involving licenses, Medicare/Medicaid enrollment, Stark Law and Anti-Kickback Statute compliance, and state-specific requirements.
  • Assist with healthcare entity formations and regulatory filings with agencies such as state Departments of Health, CMS, and professional licensing boards.
  • Prepare and review healthcare-related contracts, such as employment agreements, management services agreements, operating agreements, and BAAs.
  • Conduct research relating to HIPAA, Stark Law, Anti-Kickback Statute, and Medicare/Medicaid regulations.
  • Coordinate with regulatory bodies, clients, and attorneys to ensure proper and timely submissions.
  • Maintain corporate minute books, stock certificates, and healthcare governance records.
  • Manage data rooms, track transaction progress, and assist in closing processes.
  • Facilitate document execution, notarizations, and client correspondence.
  • Utilize MS Office Suite, Adobe/Kofax, and document management systems for drafting, editing, and maintaining legal documents.
  • Maintain filing systems and handle confidential information with discretion.
