About The Position

We are looking for a corporate paralegal to join our small, focused Legal and Risk team to provide support on a broad range of commercial and corporate governance matters facing a global supplier of manufacturing technology and services. You enjoy working with people and independently managing projects and day-to-day tasks. The ideal candidate has experience in an in-house legal department or a corporate law department at a law firm. You will be based in St. Louis, Missouri.

Requirements

  • Associate’s degree or paralegal certificate required.
  • Ten (10) or more years of relevant experience as a paralegal for a law firm or in-house legal department is preferred.
  • Prior experience as a business immigration Paralegal or Immigration Specialist, with preference for experience in O-1, EB-1, and EB-2 NIW.
  • Prior experience in preparing documentation supporting stock transfers in a private company.
  • Ability to learn new areas quickly, take ownership of projects and work independently.
  • Ability to prioritize work tasks to provide high-quality work product to meet internal and external deadlines.
  • Excellent written and verbal communication skills, teamwork abilities, attention to detail and strong organizational skills.
  • Ability to navigate computer skills, including experience with Microsoft Office (Word and Excel) and Adobe Acrobat.
  • Notary Public desired or willingness to promptly obtain.

Responsibilities

  • Maintain corporate records and minute books, including international and domestic company board of directors and officer appointments.
  • Maintain and file annual reports and business registration for domestic legal entities, including d/b/s, entity formation, dissolutions, name changes, etc.
  • Create and maintain corporate records databases and organization charts.
  • Ensure linkage between corporate governance documents and corporate organization chart.
  • Draft corporate resolutions, in coordination with an assigned member of the legal team.
  • Liaise with various officers and directors to obtain signatures and approvals when necessary.
  • Coordinate and perform day-to-day activities relating to corporate governance matters and regulatory filings.
  • Assist in merger and acquisition-related matters.
  • Support efforts to prepare for meetings of boards of directors and committees.
  • Assist with administration of Company’s equity holder program, including the review of documentation associated with stock powers, preparation of stock certificates and record sheets.
  • Maintain, update, and provide improvements, as needed, to BW Legal SharePoint sites, as assigned.
  • Assist with responding to Know Your Customer requests.
  • Prepare, redline, negotiate, and manage NDAs and other legal documents as directed by attorneys.
  • Immigration Familiarity with business-based non-immigrant petitions (H-1B, TN, L-1, etc.) and immigrant petitions (EB-1, EB-2, EB-3, etc.) is preferred.
