About The Position

Corporate, External, and Legal Affairs (CELA) is seeking a Corporate Counsel to support the commercial sales business on an array of topics, including health care transactions, general commercial initiatives, and operational regulatory execution. The role will support Microsoft’s Customer and Partner Solutions (MCAPS) organization, which drives some of the world’s largest technology transformations, enabling customers to successfully utilize Microsoft technology to digitize their business and reimagine whats possible. As Corporate Counsel, you will serve as a trusted legal advisor to senior business leaders on high‑impact, innovation‑driven engagements. You will advise on complex contractual structures and risk considerations, including regulatory compliance, and ensure alignment on strategic initiatives. You will partner cross‑functionally with product, engineering, sales, and compliance teams to support go‑to‑market readiness, responsible AI implementation, and evolving global regulatory requirements to enable scalable innovation. You will advise senior business leader on legal considerations related to commercial programs for selling support and services to customers and partners, and the business operations for delivery of services that accelerate utilization and value of Microsoft technology for customers and promote AI diffusion. You will develop and advise on complex contractual structures, risk considerations, regulatory requirements, and commercial commitments, in particular the offers and execution supporting Microsoft ‘s sovereignty commitments. You will partner cross‑functionally within CPS, marketing, sales, and compliance teams to support go‑to‑market strategy and readiness, and you will help ensure that Microsoft’s commercial support and services offerings address evolving global regulatory requirements. Requirements

  • Juris Doctor Degree or international equivalent degree AND 1+ year(s) experience as a practicing attorney OR equivalent experience.
  • Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.

Nice To Haves

  • 3+ years experience supporting go-to-market strategy and developing programmatic commercial agreements.
  • 1+ years expererience advising on cloud, AI, and emerging technology issues, including regulatory and compliance considerations.
  • 1+ years experience with project management skills to address and plan for competing demands.

Responsibilities

  • Serve as a legal advisor to the CPS team to address a wide range of legal and regulatory issues and provide proactive, solution-orientated legal guidance aligned with business strategy.
  • Oversee and provide counsel on development of commercial offers and programs for support and technical services.
  • Ensure compliant data handling in compliance with local laws and regulations, proactively manage legal risks, and provide strategic advice on a wide range of legal and regulatory issues.
  • Support the adoption of AI-driven tools and scalable legal processes to accelerate support for engineering services, automate routine work, and drive operational excellence while enabling business stakeholders to move quickly.
  • Provide legal and strategic advice to operational teams regarding compliance with applicable privacy and data security laws, standards and corporate policies.
  • Work with business groups to deploy compliance processes through effective and dependable procedures and technologies.
  • Contribute to company-wide policies, standards and business procedures designed to foster compliance with privacy, security and data protection requirements and best practices.
  • Creatively solve problems and coordinate across CELA and business team subject matter experts.
