About The Position

Through its merger with Oil Search, Santos has acquired and assumed operatorship over a world-class portfolio of oil leases on the Alaskan North Slope, USA. The company's focus in Alaska is the advancement of the Pikka Phase 1 project, which includes a single drill site, an oil processing facility, and other infrastructure to support production of 80,000 barrels of oil per day. Pikka has been identified as being among the top quartile of oil and gas development projects for greenhouse gas emissions performance, poised to play an important role in the energy transition and aligned with the company goal of managing climate change risk. The Pikka Unit is one of the largest conventional oil discoveries made in the United States in the last 30 years, and the Pikka Phase 1 Project is the most significant development on Alaska's North Slope in more than 20 years. The permitted Pikka development project includes two additional drill sites, and the Alaska assets also include discoveries made from both the Mitquq and Stirrup exploration wells drilled in 2020, offering a clear path to long-term growth in Alaska. The Corporate Attorney will partner with all aspects of the Alaska business to provide legal advice and opinions regarding corporate, commercial, regulatory, environmental, litigation, and labor law matters in a pragmatic and business-orientated manner. A key stakeholder for the Corporate Attorney will be the Commercial and the Supply Chain departments. This individual will play a critical role in the drafting, review and negotiation of contractual agreements and will be responsible for risk mitigation, whilst ensuring that the needs of the business are met.

Requirements

  • Juris Doctorate degree from an ABA accredited institution.
  • A strong legal foundation and understanding of operating within an exploration and production environment and corporate environment.
  • Exceptional productivity skills and work ethic.
  • An engaged, hands on' team player.
  • A very confident professional who is able to present to management on complex.
  • Has little need for close management supervision and direction and is comfortable and effective in an informal operating environment.
  • Minimum 7 years practice experience.
  • A strong background in Alaskan law or corporate law with significant upstream oil and gas experience or corporate experience.
  • Demonstrable experience in dealing with complex legal issues and expertise in contract drafting and negotiation.
  • Experience developing and implementing corporate operating policies and procedures.

Responsibilities

  • Responsible for legal support to the Supply Chain, Procurement and Contracts department.
  • Draft, review and negotiate complex contractual agreements with suppliers and contractors, including material contracts such as EPCs, and MSAs.
  • Provide guidance when disputes arise.
  • Provide legal support regarding corporate ethics and compliance programs and corporate governance, including internal policies and procedures, and company secretary obligations.
  • Draft, review, interpret and advise on unit operating agreements, unit agreements, leases, surface access and use agreements, rights-of-way, financial documents, assignments, drilling title opinions, confidentiality agreements and other contracts pertaining to upstream oil and gas operations.
  • As requested, perform other duties and activities in furtherance of Ahtna's business plans and programs as directed by the senior level attorney.
