About The Position

A local non-profit serving Buffalo and WNY is seeking a part-time Corporate Counsel (approx. 20 hours/week, variable) to serve as in-house legal resource and advisor to the Board, leadership, and staff. Reporting to the CFO, this role ensures compliance with laws, regulations, and contracts, and coordinates closely with outside counsel.

Responsibilities

• Provide legal guidance on contracts, governance, compliance, risk management, and data privacy/cybersecurity.
• Draft, review, and negotiate agreements with vendors, funders, and philanthropic partners.
• Support governance best practices, fiduciary duties, and Board policy development.
• Advise on donor agreements, estate settlements, and gifts of complex assets.
• Participate in Enterprise Risk Management team and maintain systems to track legal work.
