About The Position

Vytalize Health is seeking a Technology, AI & Data Counsel to serve as the dedicated legal partner supporting the company’s technology initiatives and enterprise data operations. This role represents the first legal position specifically designed to support the technology side of the business. This individual will act as the primary legal advisor to technology leadership, as well as engineering, product, and data platform teams. The position is structured with a focus across three core areas: approximately 60% dedicated to technology and AI-related legal matters, 20% to intellectual property and related initiatives, and 20% to transaction support and capital structure coordination.

Requirements

  • J.D. from an accredited law school and active bar membership in at least one U.S. state.
  • Minimum 5 years of progressive legal experience with substantial technology transactions work — vendor contracting, SaaS agreements, data licensing, and IP protection.
  • Demonstrated experience with healthcare data governance: HIPAA, BAAs, data use agreements, and de-identification in the context of analytics or AI/ML.
  • Experience structuring or advising on IP assignment chains, subsidiary governance documents, or inter-company agreements.
  • Ability to move at commercial speed on contract review while maintaining legal rigor — the defining skill for this role.
  • Comfortable operating as a solo practitioner within a team: self-directed, low-maintenance, high throughput.

Nice To Haves

  • Experience in digital health, health tech, or health AI companies
  • Familiarity with FDA regulation of software as a medical device (SaMD) and the CDS exemption under 21st Century Cures.
  • Experience in a PE-backed or venture-backed environment, including familiarity with recapitalization, M&A diligence, or exit scenarios.
  • Exposure to AI/ML-specific legal questions: model training data provenance, output liability, algorithmic bias risk, clinical safety validation.

Responsibilities

  • Technology Vendor & Commercial Contracts
  • Own end-to-end legal review, negotiation, and execution of technology vendor agreements including SOWs, MSAs, SaaS subscriptions, and professional services contracts.
  • Build and maintain a lightweight contracting playbook — pre-approved templates, risk-tiered review thresholds, and escalation protocols designed to eliminate unnecessary review cycles.
  • Manage commercial relationships with data platform vendors, development partners, and enterprise software providers.
  • Support EMR integration agreements across multiple EHR ecosystems.
  • AI, Data & IP Strategy
  • Serve as primary legal advisor for technology initiatives on creation, protection, and licensing — including strategy for technology and clinical AI intellectual property.
  • Structure and negotiate data use agreements and clinical data licensing arrangements for EHR, claims, and outcomes data.
  • Advise on HIPAA compliance and compliance in AI/ML contexts: BAA structures for model development environments, de-identification standards, and minimum necessary data principles.
  • Monitor FDA regulatory positioning for clinical decision support under the 21st Century Cures Act CDS exemption, including SaMD classification risk and enforcement.
  • Support enterprise AI governance — usage policies, acceptable use frameworks, and vendor BAA requirements for LLM-based tools deployed across the organization.
  • Subsidiary Governance & Corporate
  • Responsible ongoing legal documentation for the Vytal Insights subsidiary: inter-company agreements, IP assignment, transfer pricing, and coordination with 409A valuation processes.
  • Provide legal input on capital structure questions as the subsidiary approaches commercialization, including commercial SaaS/enterprise licensing agreements with external customers.
  • Deal Support
  • Serve as internal legal resource for technology disputes, M&A diligence, recapitalization scenarios, and capital structure coordination — acting as the bridge between external transaction counsel and internal business teams.
  • Provide transaction support, including debt facility and lender-related legal coordination, as needed.
