About The Position

We are seeking an experienced and highly motivated individual to act as corporate counsel or senior corporate counsel, reporting to the General Counsel. In this role, you will handle a broad range of commercial and corporate matters, from negotiating high-impact contracts to supporting strategic transactions and governance initiatives, while also supporting the Company’s Chief Compliance Officer on day-to-day compliance matters. This exciting position will be a key member of our growing legal team, offering the opportunity to make a significant impact on our rapidly-growing company and ultimately, on the patients we serve.

Requirements

  • Juris Doctorate (JD) degree from accredited law school and 3+ years of practice as an attorney in the corporate department of a well-regarded law firm, with preference for additional experience in-house in at a commercial-stage company in the life science industry.
  • Active license to practice law in a state bar is required, California preferred.
  • Local to SF Bay Area with ability to work onsite in our Redwood City headquarters at least Tuesday through Thursday each week.
  • Proven ability drafting, negotiating, and managing a variety of life science focused contractual agreements. Experience building and implementing contract life-cycle management a plus.
  • Demonstrated expertise and sound judgment, understand how assigned responsibilities meet business objectives, and be able to provide practical, risk-balanced advice based upon an appropriate understanding of the scope of an issue. Decisiveness and flexibility are both required.
  • Firm understanding of available legal, functional, and business resources and ability to integrate information from several sources to achieve business results, including working across functions to create alignment as necessary.
  • Experience in-house with compliance focus is preferred, but a demonstrated interest and ability to quickly learn healthcare compliance laws and regulations is sufficient.
  • Excellent organizational and time-management skills, with the ability to prioritize tasks, manage multiple competing priorities simultaneously and meet deadlines.
  • Ability to excel in a fast-paced, changing environment with limited structure that requires flexibility, resourcefulness, a sense of urgency, efficiency and responsiveness.
  • High-energy professional with demonstrated self-confidence, high integrity, and ability to maintain a high level of confidentiality and discretion in handling sensitive legal matters.
  • Must be highly motivated and experienced in successfully handling multiple projects with often short deadlines and have the ability to work independently and prioritize responsibly with minimal supervision.

  • Ability to set aggressive deadlines, handle multiple complex legal matters and see projects through to conclusion.

Responsibilities

  • Draft, review and negotiate contracts across organization, including consulting agreements, speaker agreement, NDAs and vendor services agreements.
  • Support internal education and training around contract processes and legal best practices.
  • Provide legal counsel on compliance, risk management, and other legal issues in the context of federal and state regulatory requirements, including fraud and abuse laws, Anti-Kickback issues, Sunshine law and False Claims Act.
  • Participate in multifunctional committee reviews of promotional and medical materials and in oversight of commercialization activities.
  • Audit policy compliance and conduct investigation of complaints and alleged violations of rules, regulations, policies, procedures, and standards of conduct, and coordinate with management in developing/implementing corrective action plans and provide general guidance on such matters.
  • Handle a broad variety of miscellaneous legal or compliance tasks on an as needed basis under direction of the General Counsel or Chief Compliance Officer.
  • Assist with special projects, as needed.
