About the Role Responsible for developing, negotiating, drafting and interpreting contracts of varying scope and complexity as well as implement related processes and procedures. In accordance with corporate policies, execute various vendor, supplier, finance, and real estate contractual agreements. Develop tools and templates, and provide advice and training for other contract functions.

Requirements

  • High School Diploma/GED required.
  • Bachelor degree in Business Administration, Law preferred or relevant experience in lieu of degree.
  • Minimum 5 - 7 years direct experience in negotiating and drafting contracts.

Nice To Haves

  • Prior paralegal experience or in-house legal experience highly desirable.
  • Experience in the following areas, a plus: IT licensing, maintenance and support services, finance, insurance, treasury, and leasing transactions; Healthcare industry, insurance company regulation, M&A, corporate governance, and subsidiary maintenance.
  • Juris Doctor or paralegal certification a plus.

Responsibilities

  • Draft, review and build consensus on template agreements and contract process tools.
  • Draft, review, negotiate and build consensus on commercial contracts.
  • Advise clients and management of potential risks and opportunities related to contract negotiations.
  • Train and advise clients, management and other attorneys on contract best practices and procedures.
  • Addendum for Privacy Department: Draft, review, and negotiate Business Associate Agreements; Partner with the business units to develop and consistently execute Business Associate Agreements.
  • Report on the overall performance of Business Associate Agreements and recommend operational efficiency opportunities.
  • Support the Privacy space as required; including privacy incident response and the creation of the data ethics program.
