About The Position

The Contracts Manager is responsible for managing the Company’s contract review, negotiation, and administration process from intake through execution. This role serves as the central coordinator of contract workflow and documentation, ensuring that agreements are properly organized, reviewed, negotiated, executed, and archived in accordance with Company risk standards. In addition to contract review and negotiation responsibilities, this position plays a key compliance role by evaluating sales and use tax implications, coordinating exemption documentation, and validating resale and exemption certificates where applicable.This is a highly organized, detail-driven position requiring strong commercial judgment, disciplined workflow management, and the ability to operate independently within established risk parameters.

Responsibilities

  • Contract Workflow Management
  • Intake and organize new contract documents from operations and estimating teams.
  • Establish and maintain job-specific contract folders.
  • Organize prime contracts, exhibits, plans, specifications, amendments, and related documents.
  • Distribute contracts to appropriate internal stakeholders for review and track status through completion.
  • Maintain contract logs and status trackers to ensure timely review and execution.
  • Coordinate signature and execution process and ensure proper distribution of fully executed agreements.
  • Maintain and update standard contract templates.
  • Maintain a disciplined, repeatable internal contract workflow.
  • Contract Review, Negotiation & Vendor Documentation
  • Review and negotiate:
  • Complex construction contracts with general contractors and project owners
  • Master service agreements (MSAs)
  • Subcontracts and supplier agreements and purchase orders
  • Change orders and amendments
  • Review, revise, and approve Company non-disclosure agreements (NDAs) for prospective projects.
  • Review and evaluate vendor and supplier credit applications and associated terms and conditions.
  • Coordinate onboarding of new subcontractors and vendors using approved master subcontract and MSA templates.
  • Analyze and evaluate risk allocation provisions, including:
  • Indemnity and defense obligations
  • Pay-if-paid / pay-when-paid provisions
  • Insurance and bonding requirements
  • Warranty provisions
  • Liquidated damages
  • Termination rights
  • Dispute resolution and governing law
  • Escalate high-risk, non-standard, or material deviations and requested contract revisions to General Counsel.
  • Provide practical contract interpretation support to project teams during project execution.
  • Sales & Use Tax Review and Compliance
  • Review contracts for sales and use tax implications, including tax allocation language.
  • Identify projects or transactions qualifying for sales tax exemption.
  • Obtain, review, and validate resale certificates and exemption certificates.
  • Coordinate with the Accounting Dept. to ensure proper tax treatment.
  • Maintain organized records of exemption documentation for audit support.
  • Monitor contract language affecting tax liability exposure.
