The Cliff Notes We are seeking a highly motivated and detail-oriented Contracts Manager to join our Legal team and report directly to our SVP, General Counsel. This role will play a critical part in enabling business growth while protecting the company’s legal and regulatory interests. The Contracts Manager will be responsible for drafting, reviewing, negotiating, and managing a wide range of commercial agreements, while also supporting broader risk management and compliance initiatives. The ideal candidate thrives in a fast-paced technology/SaaS environment, demonstrates strong business acumen, and partners effectively across Legal, Finance, Sales, and Operations. This is a high-visibility role that requires both technical contract expertise and the ability to improve processes, mitigate risk, and support scalable growth.

Requirements

  • Bachelor’s degree required.
  • 5–7 years of relevant experience in contract management, legal operations, or risk/compliance roles.
  • Experience in a technology or SaaS environment strongly preferred.
  • Demonstrated progression in responsibility and ownership of complex agreements.
  • Strong contract drafting and negotiation skills.
  • Solid understanding of commercial risk allocation and SaaS-specific terms (e.g., SLAs, data protection, IP rights, limitation of liability).
  • Knowledge of compliance frameworks and internal control environments.
  • Excellent written and verbal communication skills.
  • Ability to balance legal risk with business objectives.
  • Strong organizational skills with exceptional attention to detail.
  • Comfortable working independently while collaborating across departments.

Nice To Haves

  • Advanced degree (e.g., JD) or relevant certifications (e.g., CPCM, CIPP, CRCM) preferred.
  • Experience with CLM systems and contract workflow tools preferred.

Responsibilities

  • Draft, review, and negotiate a variety of commercial agreements, including:
  • SaaS subscription agreements
  • MSAs, SOWs, amendments, and order forms
  • NDAs
  • Vendor and partner agreements
  • Ensure contracts align with company risk tolerance, legal standards, and business objectives.
  • Advise internal stakeholders on contractual risk, obligations, and best practices.
  • Escalate complex legal issues to the SVP, General Counsel, as appropriate.
  • Partner closely with Sales to support revenue growth while maintaining risk discipline.
  • Collaborate with Finance on revenue recognition, payment terms, and financial risk considerations.
  • Work with Operations and Product teams to ensure contractual commitments are operationally feasible.
  • Serve as a trusted advisor to internal business teams on contract strategy and structure.
  • Support and enhance contract lifecycle management (CLM) processes and tools.
  • Develop and maintain contract templates, playbooks, and standard clauses.
  • Track contract milestones, renewals, and obligations.
  • Identify opportunities to improve efficiency, reduce cycle time, and strengthen controls.
  • Support enterprise risk management initiatives.
  • Assist in developing and maintaining internal policies and compliance frameworks.
  • Monitor regulatory developments relevant to the business and escalate impacts as needed.
  • Support internal and external audits, including documentation and control testing.
  • Promote adherence to internal controls and external regulatory requirements.
  • Manage the insurance renewal process, ensuring coverage aligned with operational risk and industry requirements.
  • Support the SVP, General Counsel in global compliance, as well as data privacy and data management initiatives.
