The Opportunity The Contract Manager I will be responsible for understanding client or potential client business and contractual terms, evaluate existing contracts, if applicable, proactively communicating and collaborating with internal stakeholders (including legal) on the various touch points associated with a particular contracting transaction, identifying, and resolving any barriers, and finalizing the agreement for client review. The Contracts Manager I will also be responsible for identifying nuances within the client contracting process and raising those to the leadership team for review. In addition, the Contract Manager I will be responsible for learning when certain approvals are necessary and support the development, maintenance, and execution of the clause library. The Contract Manager I will be responsible for assisting with development, support and maintenance and documentation of our new client contracting system. This role will also be heavily involved in evaluating data, work with stakeholders on reporting needs and provide support to the team and legal on contract intelligence research.

Requirements

  • Bachelor’s degree from four year-college or corporate paralegal background
  • 2-3+ years of experience in contract management or vendor management or similar role
  • Experience with a contract management tool such as IntelAgree, Salesforce or like system.
  • Experience with Microsoft analytics such as Excel and PowerBI, highly preferred
  • Industry experience with credit union, financial institution, and/or payments industry.
  • Legal background.

Responsibilities

  • Prepare and negotiate various client contracts, amendments, and other legal documents.
  • Assist internal stakeholders in interpreting contract terms and conditions.
  • Act as liaison for internal and external customers on all contract processing/administration matters.
  • Draft a high volume of templatized amendments, addenda, and other documents as required with some level of customization, as needed.
  • Manage the client contract administration processes, including handling requests, facilitating notices, tracking of client renewals, managing contract analytics, and ensuring appropriate execution of all legal documents.
  • Work with in-house counsel and external counsel throughout the contract negotiation process.
  • Distribute certain contract requests to internal and external counsel as appropriate.
  • Partner with internal stakeholders throughout the contract process from intake to execution.
  • Ensure their adherence to contract-related policies and procedures and help them troubleshoot and resolve contract issues and challenges.
  • Work with the rest of the legal team, compliance, information security, finance, and other stakeholders to ensure client contracts meeting compliance and regulatory requirements.
  • Support and help implement changes in systems, processes, and procedures.
  • Document processes and create policies and procedures relating to contracts.
  • Maintain and improve supporting documentation, including vendor and client playbooks.
  • Assist team in management and configuration of templates and clause library
  • Identifying system functionality and develop efficient processes
  • Assist team in maintaining client contracting system
  • Provide support to team on identifying reporting needs, working in the system to enable the functionality, executing on reporting on a regular cadence
  • Identify contract intelligence searches, work with partners to identify needs and run searches accordingly
  • Additionally, responsible for managing, monitoring, and reporting risks within the scope of your work area, to include, but not limited to Information Security risks.
  • Perform job duties within the company’s policies, procedures, service standards and the state and federal laws.
  • Other projects and duties as assigned.
