The COMMERCIAL LEGAL COUNSEL, DISCOVERY & MEDICAL/GENOMIC MEDICINE, AMERICAS is responsible for partnering with the Discovery & Medical and Genomic Medicine leadership and their teams in the Americas to help identify opportunities to drive the business forward, negotiate contracts, and provide legal advice as well as training. This position reports to the VP & General Counsel, Discovery & Medical and Genomic Medicine and is part of the Legal & Compliance Department. This position will be an on-site role located in Marlborough, MA .

Requirements

  • JD with excellent academic credentials from an accredited law school.
  • Active bar membership in at least one US jurisdiction.
  • Minimum of 7 years post qualification experience.
  • Significant experience in business law within a large law firm or corporate in‑house legal department, or a minimum of 10 years’ experience as a contracts manager, including drafting, negotiating, and closing commercial and supplier agreements in a regulated environment.
  • Experience may include sale and distribution agreements, supply and professional services procurement agreements, and related commercial contracts, preferably within the healthcare or life sciences industry, with working knowledge of applicable privacy regulations such as HIPAA and/or GDPR.
  • Strong project prioritization skills, with an ability to effectively manage multiple tasks and priorities in a fast-paced environment as well as the ability to contribute to driving change across cross-functional teams with a focus on driving operational excellence.
  • Strong written and verbal communication skills, as well as analytical skills, with demonstrated experience identifying and resolving legal and compliance issues quickly and effectively and ability to make well-grounded risk calls.
  • Proven team player with experience engaging and collaborating with cross-functional stakeholders to influence adoption of business-oriented solutions.

Responsibilities

  • Partnering with Discovery & Medical and Genomic Medicine leadership and their teams in the Americas to help identify opportunities to drive the business forward (e.g. negotiating and closing significant commercial, direct sourcing and non-disclosure agreements).
  • Partnering with the Global Strategic Account Management team to negotiate commercial agreements with key accounts.
  • Providing Legal & Compliance training to the Discovery & Medical and Genomic Medicine teams in the Americas to help them identify and navigate risks that may arise during the course of doing business.
  • Drafting, reviewing and negotiating strategic business agreements and transactions and applying legal and business judgment to proposed deals, relationships and other issues requiring legal or compliance attention.
  • Advising the business on compliance, privacy, antitrust, and advertising / promotional matters and supporting the management of disputes and litigation.
