About the team and what we’ll build together We are seeking a strategic, business oriented Commercial Counsel to join our fast-growing loyalty marketing and technology organization. This fully remote, U.S.-based role may be hired at Commercial Counsel or Senior Commercial Counsel level, depending on experience and qualifications. You will partner with Sales, Product, InfoSec, Marketing, Procurement, and Finance to manage the full lifecycle of commercial contracts and support scalable growth. Responsibilities include leading complex negotiations, providing practical legal guidance, and shaping contracting processes as we continue expanding globally. Key areas of focus include drafting and negotiating SaaS MSAs, SOWs, DPAs, amendments, and change orders across client, vendor, and partner agreements, as well as advising on data security, privacy, and marketing compliance. Success in this role requires sound judgment, adaptability, and confidence operating independently while maintaining alignment with the Deputy General Counsel and broader Legal team initiatives. Note: Leveling will be determined based on experience; candidates with senior-level expertise are encouraged to apply.

Requirements

  • J.D. and admission to at least one U.S. state bar.
  • 7–10+ years of legal experience, including 5+ years in-house in SaaS, technology, data-driven, or marketing/loyalty organizations.
  • Expert in commercial contracts and end-to-end contract lifecycle management.
  • Strong legal research capabilities with ability to provide practical, tailored guidance on marketing and regulatory compliance.
  • Working knowledge of privacy and data protection requirements (GDPR, CCPA/CPRA), and experience with PII compliance and data residency/localization concepts.
  • Experience partnering with InfoSec and interpreting security/privacy documentation.
  • Ability to independently lead complex negotiations and provide clear, practical guidance.
  • Comfort operating in a high-volume environment.
  • Savvy, pragmatic judgment with strong commercial awareness.
  • Excellent drafting, writing clarity, and communication skills.
  • Ability to operate with initiative, adapt quickly, and manage ambiguity effectively.
  • Strong cross-functional partnering skills and operational curiosity.

Nice To Haves

  • Multi-jurisdictional contracting, including international.
  • Experience working within a CLM platform.
  • Knowledge of AI governance principles and associated contract terms.

Responsibilities

  • Lead drafting and negotiation of enterprise-level SaaS MSAs, SOWs, DPAs, SLAs, amendments, and change orders.
  • Serve as primary legal partner to Sales throughout deal strategy, negotiation cycles, and client escalations.
  • Provide practical legal guidance that balances commercial objectives with risk management.
  • Draft and negotiate partner, vendor, and procurement agreements, including professional services and technology integration agreements.
  • Advise stakeholders on legal risks, fallback provisions, and contractual responsibilities.
  • Train internal stakeholders on contract interpretation, fallback provisions, and decision-making boundaries.
  • Develop and refine contract templates, playbooks, and fallback provisions.
  • Address privacy and security terms in commercial contracts in alignment with internal policy and external regulation.
  • Collaborate with Product, InfoSec, Marketing, Finance, and Operations on product initiatives and partner contracts.
  • Advance contracting templates, fallback language, and negotiation playbooks.
  • Navigate ambiguity and deliver crisp, business-forward recommendations.
  • Work within a contract lifecycle management tool to manage workflows and ensure efficient routing and review.
  • Identify opportunities to improve contracting processes and strengthen scalability as the organization grows.
