We're a lean but tight-knit legal team that supports the entire organization from Sales and Marketing to HR, Finance, Partnerships, Product and everything in between. We are seeking a highly skilled Commercial Corporate Counsel with a low ego to join our team. As an early member of our legal team, this position will have the ability to help handle and shape processes for various legal matters, with most of their focus on our commercial contracting process. The ideal candidate has strong experience with both commercial agreements and general corporate work, thrives in a fast-paced, collaborative environment, and brings a proactive business-minded approach to problem-solving. Other areas this position could grow into helping may include litigation, regulatory compliance, corporate governance, and intellectual property portfolio management. The Commercial Corporate Counsel will help support our company by balancing minimization of contractual legal risks with supporting and enabling a hypergrowth startup. This position will report directly to, and work intimately with, the Chief Legal Officer. Those hungry for growth are encouraged to apply.

Requirements

  • Juris Doctor (J.D.) from an accredited law school and admission to practice law in the State of Utah.
  • At least 4-8 years of experience with both big law corporate practice and in-house experience preferred, with a special preference being given to in-house experience with a CPG/e-commerce business.
  • Extensive knowledge of commercial contracting with special preference given to supply chain and CPG/e-commerce specific contracting experience.
  • Knowledge of consumer protection, advertising, e-commerce, privacy, and regulatory frameworks.
  • Excellent legal writing, negotiation, and communication skills, with the ability to present complex legal concepts to non-legal stakeholders.
  • Proven ability to work independently and collaboratively in a fast-paced, dynamic, and hyper-growth environment.
  • Strong negotiation, analytical, problem-solving, and critical-thinking skills.
  • High ethical standards and the ability to manage sensitive information with discretion.

Nice To Haves

  • Experience in the health and wellness or consumer goods sector.
  • Experience with e-commerce laws and cross-border transactions.
  • Knowledge of data privacy and cybersecurity laws (GDPR, CCPA, etc.) as they apply to e-commerce businesses.

Responsibilities

  • Draft, review, and negotiate complex legal agreements including manufacturing, vendor, NDAs, supply, licensing, SaaS, influencer, commercial leases, partnership, marketing and event, and master services agreements.
  • Manage, coordinate, and find ways to improve upon (in conjunction with our corporate contracts manager) all contract workflow processes in our CLM (Ironclad).
  • Collaborate with cross-functional teams to develop scalable templates, playbooks, and contracting processes.
  • Support internal education and training around contract processes and legal best practices.
  • Help strengthen and scale Just Ingredients' legal operations and infrastructure to support continued growth.
  • Manage and coordinate litigation, disputes, and external counsel by:
  • Overseeing the resolution of litigation matters, including disputes, settlement negotiations, mediations, demand letters, and court appearances if applicable
  • Managing legal budgets, tracking matter statuses, and providing risk updates to CLO
  • Implementing strategies to resolve disputes efficiently while protecting brand reputation
  • Create and refine proactive legal processes and strategies for risk management related to product development, marketing, advertising, compliance, and legal operations.
  • Advise stakeholders on best practices to ensure compliance with applicable laws and mitigation of potential business risks.
  • Ensure ongoing compliance with state and federal regulations, including:
  • Consumer protection (FTC regulations)
  • E-commerce, advertising, and pricing laws
  • Retail regulatory requirements
  • Product safety and labeling compliance
  • Data privacy (CCPA, CPRA)
  • Company-wide policies and compliance training programs
  • Conduct risk assessments and implement mitigation strategies aligned with business priorities
  • Assist in corporate governance matters, including drafting and reviewing corporate policies, shareholder agreements, and other legal documents that help ensure compliance with corporate governance standards.
  • Collaborate closely with key stakeholders including sales, marketing, product development, supply chain and operations teams to ensure the company's activities align with legal and regulatory requirements.
  • Ensure Intellectual Property and brand protection by managing trademarks, copyrights, and other brand assets, overseeing IP portfolio strategy—including filings, renewals, and enforcement, and developing processes to protect against counterfeits, unauthorized sellers, and digital infringement.
