About The Position

Dawn Foods is seeking an Associate Corporate Counsel for an exciting global role with a leading international bakery products company. Reporting directly to the Senior Corporate Counsel, you will play a pivotal role in supporting the Law and Governance Team. In this position, you will provide legal guidance to commercial and business teams while assisting the Senior Corporate Counsel and Chief Legal Officer on a broad range of legal and governance matters. Work Environment & Travel: This is a hybrid position based at the Home Office in Jackson, MI, requiring in-office presence at least two days per week, with the ability to flex as needed. Occasional travel may be required, up to 25% of the time.

Requirements

  • A Juris Doctor (JD) from an accredited law school
  • Admission to the bar in the state of Michigan
  • A minimum of 4 years' experience in corporate law and contracts (law firm or in-house).
  • A strong understanding of contract law, intellectual property, data protection, and commercial risk allocation.
  • Extensive knowledge of applicable laws and procedures.
  • Demonstrated ability to effectively represent corporate, legislative, and regulatory interests in a variety of situations.
  • Ability to provide functional advice to other attorneys on complicated cases and/or represent the company on high-level cases.
  • Ability to mentor and coach team members.
  • Ability to work independently in a fast-paced environment
  • Strong organizational and drafting skills, with keen attention to detail.
  • Excellent written and oral communication skills.

Responsibilities

  • Serve in an advisory capacity, making recommendations which may have an important bearing on the conduct of the company's business, including risk assessment, identifying possible outcomes, and assessing the probability of any of those outcomes.
  • Draft, review, revise, and negotiate a variety of commercial and operational agreements, including NDAs, Supply Agreements, Sales Agreements, Service Agreements, Software Agreements, and other similar commercial and operational agreements.
  • Draft legal opinions, memos, and other corporate documentation
  • Ensure compliance with relevant laws and regulations, including data protection, privacy, and information security obligations.
  • Support annual meetings, board actions, and entity compliance filings.
  • Assist outside counsel with the management of an intellectual property portfolio, consisting primarily of trademarks, including working with outside counsel to coordinate trademark searches, applications, filings, and renewals.
  • Assist in the administration and resolution of legal issues that arise in existing commercial relationships. Participate in negotiations on behalf of the company, including settlement discussions.
  • Conducts and supervises other legal projects as assigned, gaining exposure to additional practice areas that may have a major bearing on the conduct of the company's business.
