Liberty Tire Recycling legal department is located in Pittsburgh, PA. Reporting to the Chief Legal and Risk Officer, this position is designed for a competent and high-potential attorney seeking to grow within an in-house legal department. This role will be responsible for assisting with the Company’s corporate and commercial matters, M&A matters, and real estate matters. The attorney in this role will work directly with all legal team members, as well as various levels of management (in the field and at corporate), as a key contributing member of the Company’s overall legal and compliance team. In this position, you must partner closely with business leaders to align legal strategies with operational goals.

Requirements

  • JD and Bar membership required
  • 7+ years of experience with demonstrated progression in responsibility. Preferred, but not required, experience gained in a combination of law firm and corporate in-house position, or government enforcement agency.
  • Significant experience in varied M&A transactions and corporate/commercial contracts required.

Responsibilities

  • Actively support and, where appropriate, lead aspects of legal M&A transactions, including due diligence, document negotiation and review, and integration planning.
  • Assist in due diligence
  • Assist review of acquisition documents
  • Assist in review of target company’s schedules
  • Help coordinate internal functional teams around deal tasks
  • Assist company in regulatory issues to the deal, including permit transfers.
  • As needed, coordinate with Risk team on Rep and Warranty insurance.
  • Help plan and assist the target’s legal, compliance, and regulatory integration efforts into broader Liberty, and work with the operations team with such integration
  • Coordinate and work as a team with outside counsel on all such matters
  • Provide practical and business-oriented legal advice and counseling on a wide range of corporate issues, including corporate governance, contractual matters, risk management, and regulatory compliance with federal, state, and local regulations.
  • Draft, review, and negotiate commercial contracts such as customer agreements, county or city contracts, equipment leases, vendor contracts, NDA’s and MoU’s.
  • Assist with Real Estate matters, including leases, amendments, and SNDAs
  • Identify areas of potential commercial risk and work with management on brainstorming solutions.
  • In coordination with our corporate paralegal, help develop and implement process improvements for contract management.
  • Serve as a consultant to the organization concerning corporate, contract and real estate strategies, and policy development.
  • When needed, manage outside counsel assisting on such matters.
  • Assists other in-house counsel in general and routine business law matters as assigned and needed.
