Assistant General Counsel

Essential Functions All team members are expected to be knowledgeable and compliant with Prisma Health's purpose: Inspire health. Serve with compassion. Be the difference. Junior associate able to support and assist senior attorneys on general counsel work, including contracts, corporate compliance, financings, and mergers and acquisitions. Drafts and reviews legal documents, including contracts, letter agreements, and other documents related to debt and equity financings. Prepares and maintains capitalization tables and pro formas for financings, including facility with Excel, organizing calculations and data, and comfortable with math. Conducts legal research on various topics and provide legal analysis and recommendations to clients. Collaborates with attorneys and clients to develop legal strategies and solutions related to debt and equity financings. Provides support for corporate transactions, including mergers and acquisitions, financings, and corporate governance matters. Maintains and updates legal files and documents, including capitalization tables, share certificates and securities filings in concert with paralegal staff. Performs other duties as assigned. Supervisory/Management Responsibilities This is a non-management job that will report to a supervisor, manager, director or executive. Minimum Requirements Education - Juris Doctor from an accredited school of law Experience - Two (2) years healthcare/legal related experience In Lieu Of NA Required Certifications, Registrations, Licenses Licensed to practice in the state in which work is performed or must obtain license within one (1) year of employment Knowledge, Skills and Abilities Knowledge and experience negotiating, managing and implementing routine and complex healthcare transactions. Requirements
- Juris Doctor from an accredited school of law
- Two (2) years healthcare/legal related experience
- Licensed to practice in the state in which work is performed or must obtain license within one (1) year of employment
