What you'll do… The Assistant General Counsel (AGC) will be a key member of the legal department, supporting the General Counsel and business leadership in structuring, negotiating, documenting, and managing complex energy-sector transactions, including involving utilities, datacenters, power projects, EPC (engineering, procurement and construction) contracts and O&M (operations & maintenance) agreements. The role will also be responsible for providing general corporate legal support (corporate governance, commercial contracts, compliance, risk mitigation) as needed. This is an exciting opportunity for a lawyer with significant law-firm experience, comfortable with high-stakes deals, and who enjoys working in a fast-growing environment.

Requirements

  • 6+ years of experience at a global law firm (or equivalent in-house role) with a focus on energy transactions.
  • Demonstrated experience structuring and negotiating complex commercial contracts in the energy sector.
  • Strong commercial mindset, ability to translate legal issues into business-outcomes and recommendations.
  • Comfort working in a dynamic, growth-oriented environment (fast-moving, cross-functional teams, multiple priorities).
  • Excellent drafting, negotiation and communication skills; able to confidently work with senior executives and business stakeholders.
  • Ability to work independently and collaboratively, make sound judgments, provide practical legal advice rather than just theoretical.
  • JD from an accredited law school, admitted to practice in Texas (active license in good standing).
  • Must possess mobility to work in a standard office setting and to use standard office equipment, including a computer, stamina to maintain attention to detail despite interruptions; vision to read printed materials and a computer screen, and hearing and speech to communicate in person and over the telephone

Responsibilities

  • Supporting and leading the negotiation, drafting, review and management of a wide variety of transaction documents including:
  • Equipment sales, EPC, O&M contracts and related long term service contracts
  • Power purchase agreements (PPAs), capacity agreements and grid services agreements
  • Datacenter, commercial and industrial resiliency agreements
  • Advising business teams (sales and marketing, structuring, operations, business development, commercial, engineering) on legal, regulatory and compliance risks associated with energy projects and transactions.
  • Providing general corporate legal support: corporate governance, entity structuring, mergers & acquisitions, capital raises (if any), commercial contracts, vendor agreements, employment/consulting agreements, intellectual property or technology matters, and compliance.
  • Serving as internal business partner, providing practical legal guidance, risk assessment, and enabling the business to move quickly while controlling legal exposures.
  • Helping build, improve and maintain legal and compliance infrastructure.
  • Monitoring and staying current on regulatory and legal developments.
  • Bring a pragmatic, solutions-oriented approach that balances legal precision with commercial agility in a fast-paced, innovative energy environment.
