About The Position

The Assistant General Counsel is responsible for providing legal counsel and representation to management and project teams, ensuring compliance with legal and regulatory requirements, supporting the company's strategic business plan, and identifying and avoiding potential legal issues or concerns.

Requirements

  • J.D. degree from an ABA-accredited law school
  • Active license to practice law in the State of Texas, must be in good standing
  • 5+ years of legal experience
  • Superior verbal, written, and interpersonal communication skills
  • Experience in the negotiation and structuring of contracts
  • Must be a quick thinker, highly analytical, articulate, and motivated
  • A team player, capable of working effectively both collaboratively and independently, with the ability to operate in a dynamic, multi-cultural organization with a diverse portfolio of clients
  • Self-starter, results- and success-oriented, with the ability to be responsive and follow through on programs and plans
  • Proficient in Microsoft Office programs, including Word, Excel, and Outlook
  • Must be able to work a minimum of 40 hours per week
  • Ability to meet highest attendance requirements
  • Ability to handle multiple tasks concurrently
  • Ability to use personal computer, calculator, etc.
  • Could involve some lifting up to 20 pounds
  • Ability to sit for extended periods of time without much movement
  • Ability to work in a time-sensitive environment with non-flexible deadlines
  • All candidates must have the ability to speak, read, and write English

Responsibilities

  • Provide legal advice and support to senior management on various matters including corporate governance, regulatory compliance, marketing, and contract negotiation
  • Draft, review, and negotiate a wide range of contracts, agreements, and other legal documents
  • Conduct legal research and analysis on relevant laws, regulations, and case law
  • Research, review, interpret, draft, and negotiate legal documents such as credit and finance documents, confidentiality agreements, etc.
  • Monitor and advise management and project teams of legal developments and trends, including changes in the law, regulatory developments, and judicial decisions impacting various industries
  • Participate in the leadership and strategic direction of major projects
  • Provide preventative legal advice and training, including coordinating management training sessions utilizing outside counsel
  • Provide comprehensive support to in-house clients
  • Represent the company before courts, administrative agencies, and other forums of adversarial proceedings, together with outside litigation counsel
  • Manage all aspects of the legal function with due skill, care, and diligence, including effective controls, risk management and mitigation, and delegation of activity to appropriate skilled and competent persons
  • Assist in handling mergers, acquisitions, and other corporate transactions
  • Additional responsibilities as assigned
