If so, we are seeking an Assistant Counsel who will be responsible for reviewing, drafting, and negotiating a variety of commercial contracts and related documents, as well as contract administration and management. This is a hands-on role within a fast growing, entrepreneurial environment with opportunities to work on a variety of other legal matters within other areas of the business as needs arise, such as marketing and advertising, intellectual property, mergers and acquisitions, and litigation.

Requirements

  • J.D. degree from an accredited law school required
  • Licensed to practice law in Illinois or ability to register as in-house counsel in Illinois
  • At least 2 years of relevant legal experience in a law firm and/or corporate legal department
  • Strong organization skills and attention to detail
  • Experience drafting and negotiating commercial contracts strongly preferred (g., confidentiality agreements, vendor agreements, procurement contracts, sales agreements, master services agreements, etc.)
  • Must be service-oriented and proactive with the ability to provide rapid, practical, business-oriented advice directly to business units
  • Strong, clear, concise verbal and written communication skills that can adapt based on the audience; comfort in communicating to senior management and internal clients at all levels of the organization
  • Must be able to handle confidential and sensitive information
  • Excellent judgment and high level of integrity and professionalism

Nice To Haves

  • Experience, knowledge and understanding of additional areas of law (e.g., marketing and advertising law, consumer protection law, product regulatory issues, commercial real estate leases, eCommerce, mergers and acquisitions, corporate financing, employment law, intellectual property, etc.) a plus
  • Demonstrated success working in a fast-paced, sales-driven culture preferred
  • Experience working with manufacturers or distributors of goods preferred
  • Ability to learn quickly and willingness to assist on other matters

Responsibilities

  • Prepare, review, and support negotiations of commercial contracts, including customer sales agreements and confidentiality agreements, using existing templates and in accordance with company policies and procedures.
  • Advise and counsel various stakeholders on contractual issues and risk assessment (including in negotiating price, delivery terms, warehousing arrangements, warranty, indemnification, limitation of liability, and other commercial terms).
  • Oversee the set-up and maintenance of all Americas contract files in contract database, including performing contract review for required inputs, to ensure a complete and correct set of electronic documents is maintained and fully compliant with company policies and guidelines.
  • Work cross-functionally with IT professionals, Operations analysts, and other stakeholders on requests related to contract analysis and enhancements to contract database
  • Monitors, processes and documents Company’s business licenses/registrations, and assists in preparing and filing corporate change notices
  • Maintain certain corporate governance documents
  • Develop best practices, including training materials for business units, to enhance and expedite contract review process.
  • Apply strategic and innovative problem-solving skills and practical business judgment to maximize revenues and savings, minimize risk, and foster long-term business relationships.
