The Assistant General Counsel/Corporate Counsel is responsible for providing a full range of in-house legal services to the Company. This role supports the Chief Legal Officer in handling a broad range of corporate, transactional, and operational matters that typically fall within the general counsel function. The Assistant General Counsel/Corporate Counsel will work directly with business teams across the organization to manage risk, improve processes, and enable operational execution. Responsibilities and Duties: The Assistant General Counsel/Corporate Counsel will work on a variety of legal, transactional, and operational matters affecting the Company (as experience and aptitude dictate), including the following: Supporting corporate transactions, including financings, restructurings, acquisitions (including a significant amount of M&A activity), divestitures, and other strategic initiatives Advising on corporate governance matters, including entity management, board materials, corporate formalities, and policy development Drafting, reviewing, and negotiating commercial contracts, including vendor agreements, service agreements, consulting agreements, NDAs, technology agreements, and other miscellaneous contracts Managing and updating corporate policies, procedures, and internal compliance frameworks Drafting, reviewing, negotiating, and managing office leases Providing legal support on employment matters, including offer letters, separation agreements, restrictive covenants, employment policies, and employee‑relations questions Providing day-to-day legal guidance to business teams on operational issues Developing and maintaining standardized forms, templates, and processes to drive consistency and efficiency Managing corporate-level disputes, including coordinating with outside counsel on litigation or specialized matters Handling special projects assigned by the Chief Legal Officer Position Standards: Team player who collaborates effectively across the organization Reflects a fun, positive personalityDisplays a practical, collaborative, and solutions-oriented approach in working with colleagues Attentive to detail and to the quality of work productWrites clearly and drafts legal documents in plain EnglishCommunicates verbally in a clear, thoughtful way; able to explain legal matters in non-legal terms Well-organized, reliable, and able to manage numerous projects simultaneously under deadline pressure Process-oriented, with an interest in improving consistency and efficiency of legal services Technologically savvy Energetic, self-starter, and hard-working Demonstrates strong business judgment and acumenComfortable working on a broad and evolving range of legal matters Willing to adhere to and promote the Mission, Vision, and Values of Stanley Martin Position Requirements: Bachelor’s degree and JD degreeAdmission to the bar of at least one U.S. jurisdiction (Virginia preferred; other acceptable) 6-10+ years of relevant legal experience, ideally with a mix of law firm and in-house work Broad corporate and transactional experience required Based in Northern Virginia, working in the Reston, Virginia, corporate office
