Position Summary The Assistant Counsel provides legal guidance and practical business advice across a broad range of matters impacting the organization, including contracting, corporate governance and SEC matters, risk management, real estate, and regulatory compliance. While reporting to the General Counsel, this role works closely with Guardian’s corporate executive team and local pharmacy leadership across multiple locations nationwide, serving as a trusted legal and strategic advisor.

Requirements

  • Juris Doctor (JD) required.
  • Active license to practice law in the State of Georgia required.
  • Minimum of 5 years of relevant professional experience, either in-house or as outside counsel, advising organizations on contracting, corporate governance, SEC compliance, HIPAA, FWA, and other regulatory matters impacting healthcare providers.
  • Strong organizational and time-management skills with the ability to manage multiple priorities and deadlines.
  • Advanced PC skills, including proficiency with Microsoft Excel.
  • Excellent written and verbal communication skills, with strong contract drafting and negotiation capabilities.

Nice To Haves

  • Experience in one or more of the following areas is preferred: transactional contracting, SEC matters, corporate governance, real estate transactions, employee benefits, and compliance initiatives.
  • Prior experience working for or advising pharmacies, pharmaceutical manufacturers or suppliers, or other healthcare providers is highly desirable.

Responsibilities

  • Draft, review, and negotiate a wide variety of customer-facing agreements, including pharmacy product and service agreements, master service agreements, term sheets, business associate agreements (BAAs), and confidentiality agreements.
  • Review and negotiate supplier-side and employment-related agreements, as needed.
  • Support local pharmacy presidents and sales teams on all aspects of customer contracting, including key contract provisions and pricing requirements.
  • Partner with sales and marketing to ensure consistent execution of a cohesive national sales and contracting approach.
  • Support corporate governance initiatives and SEC reporting requirements.
  • Provide legal counsel on key regulatory and compliance matters, including HIPAA, fraud, waste, and abuse (FWA), and broader healthcare compliance issues.
  • Assist with compliance initiatives, including drafting, implementing, and monitoring internal policies and procedures.
  • Support internal audit and compliance monitoring activities.
  • Perform other related duties as assigned.
