Gunderson Dettmer has an opening for a Venture Fund Paralegal . In this position, you will support activities related to fund formation and organization of funds. Responsibilities include maintaining fund formation checklists, tracking investor responses, filing Certificates of Formation/Limited Partnership for general partner, main fund, side fund (s) and Management Company, distributing closing documents to limited partners and preparing closing volumes. Additional responsibilities include helping with regulatory filings, ensuring compliance with relevant securities laws. This position offers the opportunity to help with training, mentoring, workflow and promoting a positive work ethic and morale through personal commitment and leadership for all junior level Paralegals and Clerks.

Requirements

  • Strong understanding of corporate law, securities law, and relevant regulations.
  • Familiarity with venture capital industry practices.
  • Experience with legal research and document drafting.
  • Superior organizational skills and ability to manage multiple priorities and deadlines.
  • Excellent analytical skills with strong attention to detail.
  • Ability to work overtime.
  • Bachelor’s degree preferred.
  • Eight or more years of venture fund paralegal experience.
  • Monday – Friday, 9:30 am to 6:00 pm
  • Full Time, Non-Exempt

Responsibilities

  • Manage and maintain checklists for fund formation processes.
  • Circulate key documents (e.g., Limited Partnership Agreements, Subscription forms) to potential limited partners.
  • Track investor responses and ensure compliance with ERISA and other regulations.
  • Prepare and file Certificates of Formation and coordinate filing of IRS forms for funds and management companies.
  • Prepare Transfer of Interest agreements for limited partners and track amendments to fund agreements.
  • File regulatory filings related to fund formation (e.g., Form D, Form D filings).
  • Assist with SEC filings, including obtaining EDGAR filing codes and preparing Forms 13D, 13G, and 13F
  • Prepare closing documents and coordinate the closing process.
  • Stay updated on relevant securities laws and regulations.
  • Ensuring proper recordkeeping of legal documents and transactions.
  • Other duties and projects as assigned.
