About The Position

The Capital Markets team of Crow Holdings Development (“CHD”) is seeking a dynamic and experienced Transaction Director. Working with various members of CHD’s Capital Markets, regional development, legal and accounting teams, the Transaction Director will be responsible for sourcing outside legal counsel, negotiating joint venture, loan, general contractor and associated documents, and assuring timely closing of various CHD activities including new property development, refinance/restructure and sale transactions as identified by the Senior Managing Director of Capital Markets.

Requirements

  • Bachelor’s Degree required, JD strongly preferred
  • Proven track record/in-depth knowledge of large real-estate transactions similar to those of CHD
  • Attention to detail

Responsibilities

  • Facilitate resources (outside counsel, specialty consultants (i.e. tax) etc.) needed for successful transactions.
  • Lead negotiations between CHD, CHD outside counsel, venture partners, venture partner’s counsel, lender and lender’s counsel, among other parties
  • Work with internal general contractor, outside general contractors, risk management and development teams in documenting general contractor agreements
  • Ensure venture agreement, loan agreement, general contractor agreement and related documents accurately reflect intended transaction, including collaboration with/incorporation of consultants including architects, engineers, and environmental professionals. Also, incorporation of land purchase contract, zoning requirements etc.
  • Establish and maintain critical path schedules for upcoming and current transactions
  • Collaborate with other Capital Markets team members, accounting, asset management and other teams on standardized monthly reporting, board reporting, annual meeting reporting/presentations and other ad hoc reporting assignments
  • Identify and manage project risks, with frequent and clear communication of risks/issues to Senior Managing Director of Capital Markets and other individuals
  • Collaborate on broader CHD initiatives including employee investment vehicle and programmatic capital relationships with outside investors including pensions, sovereign wealth funds, insurance companies, etc.
  • Learn CHD and Crow Holdings best practices, company history, and culture
  • Participate in Crow Holdings company activities
  • Travel as necessary to facilitate successful project outcomes
  • Stay abreast of industry trends, market conditions, regulatory/legal changes
