About The Position

In this role, you will provide high-level legal guidance and contract support for complex government and commercial engagements, with a focus on federal contracting and technology/data-related agreements. You will work closely with business development, finance, and product teams to draft, review, and negotiate contracts, ensuring compliance with FAR/DFAR regulations and managing risk effectively. The position requires a hands-on attorney capable of navigating fast-paced environments, advising on proposals, and structuring agreements that protect business interests while enabling growth. You will also support internal stakeholders on legal matters, resolve contract issues, and help optimize contracting processes. Requirements

  • Juris Doctor (J.D.) from an accredited law school and active attorney licensure.
  • Minimum of 10 years of experience in US federal government contracting, with strong knowledge of FAR/DFAR.
  • Proven experience with buy-side and sell-side contracts, including software, data, and technology agreements.
  • Demonstrated negotiation skills and ability to advise internal stakeholders across multiple business functions.
  • U.S. Citizenship and ability to obtain and maintain a U.S. government security clearance.
  • Strong analytical, organizational, and problem-solving skills with the ability to manage multiple priorities in a fast-paced environment.
  • Comfort with technology, data, and SaaS-related transactions.

Responsibilities

  • Review, draft, and negotiate US government contracts, teaming agreements, subcontracts, NDAs, data licenses, supplier agreements, and partner agreements.
  • Provide legal advice on FAR/DFAR clauses and ensure compliance with federal contracting regulations.
  • Support business development and proposal teams on responses to solicitations and Requests for Proposals.
  • Advise on corporate customer contracts, including software, content, and technology agreements.
  • Negotiate directly with external clients, suppliers, partners, and consultants to achieve commercially favorable terms.
  • Draft contract language to allocate risk appropriately and ensure business advantages.
  • Provide guidance on contract disputes and help refine contracting templates and negotiation processes.
