About the Role: eBay’s dynamic Technology, Marketing, and Commercial Contracts Legal team is seeking an enthusiastic Commercial Attorney to join our team in either Austin, TX, or Salt Lake City, Utah. This hybrid role requires in-office presence at least three days a week, offering an opportunity to immerse yourself in our business, lead contract negotiations, and provide crucial commercial insights that directly influence our strategic direction. This position involves providing legal counseling and collaborating directly with business units to ensure alignment with business goals and objectives. Your contributions will be valued, and your ideas will help us push boundaries and set new standards in the e-commerce landscape (if you enjoy the occasional fire drill, you will fit right in). Requirements

  • Expertise with contract drafting and negotiating commercial contracts including software licenses and SaaS agreements.
  • Experience in Data privacy agreement review and negotiation.
  • Proficient and comfortable ( not necessarily full trust ) using AI in reviewing, drafting, and redlining agreements.
  • Strong grounding in contract, corporate, and commercial law.
  • Proven ability to lead negotiations end-to-end.
  • Skilled in balancing legal risk and business value, applying judgment rather than rigid rule application.
  • Expert grasp of contracting concepts and outstanding legal and analytical skills.
  • Ability to provide advice and support in a wide range of areas ( Swiss Army Knife of the Commercial team ).
  • Capability to identify, prioritize, analyze, and resolve a variety of legal issues quickly and effectively.
  • Skill in mitigating privacy and information security risks when sharing data.
  • Scale department process improvements, such as contract playbooks, templates, or CLM systems ( fewer meeting equals less time wondering if “synergy” truly is possible ) .
  • Strong communication and presentation skills.
  • JD from an ABA accredited law school and in good standing with a US state bar.
  • 8+ years minimum. of relevant transactions expertise.
  • Additional in-house experience with general knowledge of business practices.
  • Comfortable with ambiguity and a fast-paced culture ( if you thrive in a bit of chaos, we want you ).
  • Self-motivated and self-directed, capable of working with minimal direction.
  • Demonstrated ability to lead and drive sophisticated commercial and technology transactions.
  • Value the importance of teamwork and work collaboration ( you know that “reply all” is a power to be used wisely) .
  • Able to see the big picture ( progress over perfection ).
  • Think strategically to help implement efficiencies to improve workflows.
  • Adept at balancing con fl icts between legal and business risks.
  • Comfortable engaging with a variety of teams, across all levels of the organization.
  • Strong work ethic with a sense of humor ( because sometimes all you can do is laugh ).
  • Some travel required ( oddly, never to the tropics ).

Responsibilities

  • Lead the review and negotiation of diverse commercial agreements, including software licenses/SaaS, professional services, and data privacy agreements.
  • Assess legal risks in commercial agreements, offering practical guidance on risk management, policy compliance, and contractual obligations.
  • Enhance processes by creating, developing, and managing legal trainings and playbooks.
  • Cultivate strong, collaborative relationships with strategic business partners, such as security, privacy, procurement, and fi nance, to align legal strategies with business goals for cohesive operations.
  • Undertake special projects and tasks as needed, addressing unique legal challenges and supporting new business initiatives in a dynamic environment ( code for : you might occasionally be asked to solve problems no one has seen before) .
