The Senior Paralegal provides advanced legal and administrative support to the Legal Department in a fast-paced upstream oil and gas environment. This role partners closely with attorneys and cross-functional teams (Land, Finance, Accounting, HR, Operations) to support corporate governance, commercial transactions, regulatory compliance, litigation management, and other legal matters. The ideal candidate is highly organized, detail-oriented, exercises sound judgment, and can operate independently with limited supervision.

Requirements

  • Strong understanding of legal terminology, principles, and procedures.
  • Knowledge of laws, legal codes, court procedures, government regulations, and agency rules, particularly as they relate to corporate and energy industries.
  • Ability to research and analyze statutes, regulations, and legal precedents.
  • Exceptional organizational skills and attention to detail.
  • Strong written and verbal communication skills.
  • Ability to handle sensitive and confidential information with discretion.
  • Demonstrated ability to prioritize multiple projects and meet deadlines in a dynamic environment.
  • Proficiency in Microsoft Office (Word, Excel, PowerPoint) and experience with legal document management systems.
  • Strong critical thinking skills and the ability to apply logic and reasoning to complex legal matters.
  • Associates degree required; Bachelor’s degree preferred.
  • Paralegal certificate preferred.

Nice To Haves

  • Prior experience in the oil and gas or energy industry.
  • Experience with legal and transactional support, contract and document management, and litigation
  • Experience working with outside counsel and managing legal billing processes.

Responsibilities

  • Under limited supervision, assist attorneys by researching legal issues, investigating facts, and preparing legal documents for review.
  • Draft, review, and manage a variety of legal documents, including confidentiality agreements, vendor agreements, amendments, board consents, resolutions, and corporate filings.
  • Support asset acquisitions and divestitures, including due diligence coordination, document organization, and closing checklist management.
  • Assist with preparation and filing of corporate documents, including entity formations, qualifications, annual reports, and Secretary of State filings.
  • Maintain corporate minute books, entity records, and governance documentation.
  • Assist with litigation management, including organizing case files, responding to discovery requests, and coordinating with outside counsel.
  • Conduct legal research and analyze statutes, case law, regulations, and legal articles to support internal legal strategies.
  • Investigate facts and summarize findings to assist in evaluating potential claims or defenses.
  • Manage document preservation and collection processes in coordination with IT and business teams.
  • Ensure accurate recordkeeping and version control of legal documents.
  • Support improvements to legal processes and workflows to enhance efficiency and reduce risk.
  • Partner with internal stakeholders to gather information, organize documentation, and ensure compliance with company policies and procedures.
  • Provide guidance to internal teams on document execution processes and record retention requirements.
  • Serve as a resource to junior staff and may mentor less experienced team members.
