About The Position

What you'll do... Position: Senior Manager, Corporate Development and M&A Location: 221 River Street, Hoboken, NJ 07030 Duties: Lead problem-solving efforts for complex and ambiguous problems, question assumptions, and identify potential consequences and risk levels. Make recommendations and guide the implementation of corrective and/or preventive actions for complex strategic initiatives. Collaborate with stakeholders across multiple functions to drive the implementation of recommended solutions. Ensure financial data quality and organization for analysis. Identify opportunities for improving data-driven decision making. Identify and propose ways to automate and/or improve existing processes in an assigned area of work, with the help of technology and AI. Collaborate with partners in the value chain to develop working relationships and positive outcomes across international markets. Lead cross functional strategic initiatives. Resolve issues related to collaborative efforts in varying business conditions. Understand business choices and impacts on financials. Accurately diagnose financial realities, identify key opportunities, track financial performance, and forecast future changes to mitigate risks in assigned area of responsibility. Perform advanced analyses to make informed decisions and prepare implementation plans to maximize return. Develop business-centric solutions that align with business strategies and enable performance optimization. Communicate business-level impacts to diverse audiences. Facilitate contractual negotiations for projects and provide support for complex negotiations. Understand and articulate company negotiating positions and comprehend/address other parties' strengths/weaknesses. Prepare senior leaders for negotiations by creating factual, rational, and compelling, data-based insights/arguments. Ensure negotiations comply with company and regulatory processes, values, and policies. Seek guidance on and escalate complex legal and/or regulatory issues. Apply the underlying theories behind macroeconomic behaviors to all levels of the organization. Evaluates and interprets the impact of the organization’s wider environment and offer insights/provide recommendations related to macroeconomic analysis. Develop a business and finance plan that delivers the needs of the business and is consistent with the overall strategy and business plan. Use strategic frameworks, advanced models, and business and competitor knowledge to devise strategies, understand trade-offs, and make informed business decisions. Monitor and review changes in customer and competitor behavior and develop appropriate organizational responses. Consult with internal/external stakeholders to seek out strategic alternatives. Tailor corporate development offerings and solutions to current and future needs. Identify and articulate acquisition rationales, strategic issues, key risks, and value propositions. Develop screening criteria and define the universe of search and prioritization approaches for target selection. Research target companies' performance and compatibility with company's goals. Develop preliminary valuations, control premiums, and incremental value estimates. Assist in merger-and-acquisition negotiations, including materials preparation and bid calculation. Develops due diligence plans, identifies negative synergies, and develop preliminary implementation plans. Partner with cross-functional stakeholders on certain aspects of potential mergers and acquisitions. Manage corporate development/mergers-and-acquisitions project(s) or multiple corporate development/mergers-and-acquisitions work streams utilizing project evaluation tools, methods, and performance dashboards. Assess complex changes and leads fact-based decisions in high-risk situations and ensure all stakeholders are in alignment with project approaches. Lead the development of communication and change frameworks to drive alignment with business strategies and desired outcomes. Lead discussions with varying viewpoints. This position does not supervise employees.

Requirements

  • Master’s degree or the equivalent in Business, Engineering (any), or related field and 1 year of experience in Merger & Acquisitions, Investment Banking, Business Development, Finance, or related area; OR Bachelor’s degree or the equivalent in Business, Engineering (any), or related field and 3 years of experience in Merger & Acquisitions, Investment Banking, Business Development, Finance, or related area.
  • Demonstrated knowledge of valuation techniques: discounted cash flow, comparable company multiples, precedent transactions multiples, and leverage buyout analysis.
  • Experience linking financial statements, calculating ratios, and understanding drivers.
  • Experience analyzing large data sets in Excel using pivot tables and Excel formulas, including Index, Match, and Vlookups.
  • Experience using Microsoft PowerPoint to develop executive-level presentations, structuring the presentations to convey strategic rationale, and linking outputs to Excel.
  • Experience conducting public company research utilizing proprietary and AI-based research platforms, including Capital IQ, Pitchbook, and Alpha Sense, and analyzing different industries and their financial levers.
  • Demonstrated knowledge of the Mergers and Acquisition (M&A) process, including due diligence, Non-Disclosure Agreements (NDA), Letters of Intent (LOI), and Transition Service Agreements (TSA).
  • Experience sourcing deals, including developing external sell side relationships and representing an employer's M&A strategy needs.
  • Demonstrated knowledge of the Mergers and Acquisition (M&A) integration process including leveraging AI-based tools to drive automation and internal process efficiencies.
  • Demonstrated knowledge of U.S. GAAP and IFRS reporting standards.
