The Senior Manager, Commercial Contracts (Solar) is a licensed attorney responsible for leading the negotiation, drafting, and management of complex commercial agreements for utility-scale, commercial, and distributed solar projects. This role involves close collaboration with Sales, Project Development, Engineering, Finance, Supply Chain, Operations, and Executive Leadership to structure contracts that optimize commercial outcomes while managing legal, regulatory, and financial risks throughout the solar project lifecycle.

Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • 6+ years of experience practicing law with a focus on commercial contracts, construction law, energy law, or renewable energy projects.
  • Demonstrated experience negotiating and drafting solar, energy, or infrastructure-related commercial agreements.
  • Strong understanding of solar project delivery models, risk allocation, and commercial drivers.
  • Exceptional negotiation, communication, and stakeholder management skills.
  • Ability to operate effectively in a fast-paced, high-growth renewable energy environment.
  • Hybrid Role with travel of approximately 15 times per year

Nice To Haves

  • Experience supporting utility-scale or large C&I solar projects.
  • Background in EPC, project finance, or energy infrastructure transactions.
  • Familiarity with tax equity structures and bankability requirements.
  • Experience with contract lifecycle management (CLM) systems.
  • Prior people or functional leadership experience.

Responsibilities

  • Lead negotiation, drafting, and execution of complex solar-related commercial agreements, including EPC agreements, module and inverter supply agreements, O&M contracts, PPAs, interconnection-related agreements, and master services agreements.
  • Advise internal stakeholders on commercial terms, risk allocation, pricing structures, warranties, indemnities, and liability provisions specific to solar projects.
  • Partner with Sales and Project Development teams to support deal strategy for utility-scale and C&I solar projects while balancing bankability and risk tolerance.
  • Collaborate with internal and external counsel on regulatory, permitting, tax equity, and project finance considerations impacting commercial contracts.
  • Identify, assess, and mitigate contract risks associated with supply chain constraints, performance guarantees, schedule delays, interconnection, and regulatory compliance.
  • Develop and maintain solar-specific contract templates, negotiation playbooks, and policies to improve deal cycle time and consistency.
  • Oversee contract lifecycle management, including approvals, amendments, renewals, notices, and obligation tracking through COD and operations.
  • Support contract interpretation, claims, and dispute resolution matters as needed.
  • Provide executive-level reporting on contract exposure, trends, and commercial risk across the project portfolio.
  • Mentor and guide junior contract managers or legal professionals, as applicable.
