About The Position

The Senior Legal Counsel serves as a senior member of the Legal and Compliance team, providing strategic legal advice, managing significant legal risks and supporting the General Counsel in overseeing the department's operations. This role involves high-level counsel to executive leadership and cross-functional stakeholders on a wide range of corporate, commercial, compliance and risk-related issues to advance business objectives while protecting the organization.

Requirements

  • Juris Doctor (JD) degree from an accredited law school required
  • 10+ years’ experience in a corporate (transactional) legal practice
  • Proven experience working within the legal department of a large organization
  • Strong understanding of corporate law and commercial contracts
  • Active licensure, and in good standing with relevant state bar required
  • Proficient with Microsoft Excel, Word, PowerPoint, and Outlook
  • Ability to Analyze and Solve Problems: Skill in recognizing challenges, exploring options, and implementing effective solutions in a timely manner
  • Attention to Detail: A strong focus on completing tasks and projects accurately and thoroughly, and ability to identify potential legal issues.
  • Communication Skills: Capable of expressing ideas clearly in both verbal and written forms and engaging with various audiences

Responsibilities

  • Coordinate meetings of directors/managers of various business units, including scheduling, preparing agendas and related materials and maintaining records of meetings.
  • Provide guidance on board-related matters, including the development and composition of committees, as appropriate.
  • In conjunction with the General Counsel, formulate and memorialize required agreements and procedures related to intercompany transactions.
  • In conjunction with the General Counsel, lead the drafting, review, negotiation, and revision of vendor contracts and service agreements, non-disclosure agreements and other commercial agreements.
  • In conjunction with the General Counsel, identify potential legal risks within contracts, propose mitigation strategies and ensure contracts are structured to minimize liability.
  • Lead the organization’s continuing efforts to provide robust and appropriate legal disclosures to actual and potential investors and, in conjunction with the General Counsel, monitor the organization’s compliance with applicable securities laws.
  • Document and record equity transfers and redemptions and assist the General Counsel with formulating and implementing other shareholder-related initiatives.
  • Provide legal guidance and counsel to senior management, department heads, and the executive team on contract interpretation, corporate governance, compliance obligations, regulatory requirements, potential risks, and emerging legal issues impacting the business
