About The Position

The Senior Legal Counsel, Global Technology & Procurement role primarily supports the Global Technology and Procurement organizations with legal advice and with the drafting, review and negotiation of a wide variety of complex, global commercial agreements with third party suppliers, including SaaS, PaaS software licensing, hardware, IT/consulting services, data center, telecommunications and outsourcing. This position will also provide contracting support to the Marketing Events team. The position will be based in Minneapolis, MN, Dallas, TX, or Toronto, ON. In this opportunity as Senior Legal Counsel, Global Technology & Procurement, you will: Provide legal advice and counsel to members of the Technology and Procurement organizations related to complex, commercial agreements (with a focus on technology) on a global basis Draft, review and negotiate complex, global commercial agreements, including master agreements, technology acquisition and services engagements addenda, statements of work, work orders, service and maintenance schedules, amendments, settlements, NDAs, and related project documentation Coordinate with various specialists and attorneys throughout the General Counsel Office on advice and project inputs Partner with Information Security, Privacy, and Compliance teams on vendor risk assessments Support the Marketing Events team on a variety of contract-related issues, and develop and maintain templates and playbook Assist with project management of certain commercial projects Assist with compliance and risk management initiatives and dispute resolution Assist with the preparation and updating of various forms, templates, playbooks and guidelines utilized by the General Counsel Office with the Technology and Procurement organizations Manage and oversee certain legal matters handled by outside counsel Stay up-to-date on applicable legal issues, trends and developments, including AI Develop and deliver training to client groups on relevant topics and issues

Requirements

  • JD with a minimum of 3 years of relevant experience, including in a law firm or in-house role
  • Active, good standing state bar admission in any U.S. state or Canadian province
  • Ability to provide strategic advice and input on complex, global commercial arrangements including software-as-a-service (SaaS), platform as a service (PaaS), outsourcing and managed services, as well as dispute resolution
  • Excellent negotiation and drafting skills
  • Excellent written/verbal communication and organizational skills
  • Proactive approach, with the ability to think strategically and creatively in identifying and resolving legal issues
  • Ability to successfully balance the company’s commercial interests and objectives with identified legal and business risks
  • Ability to work well as a cross-functional team member and build rapport and trust with both internal stakeholders and external suppliers
  • Ability to manage multiple projects at once, prioritize deadlines and projects effectively and work independently in a fast-paced environment
  • Flexibility, versatility and ability to adapt to changing business priorities and strategies
  • Experience with technology utilized in the practice of law, including AI tools
  • Experience with intellectual property (IP) issues that relate to Technology and Procurement agreements
