We are seeking a highly skilled and business-minded M&A attorney to serve as a key member on the global M&A and Strategic Investments team. As Senior Director, Corporate M&A, you will support complex transactions from evaluation through closing, partnering closely with senior leadership and cross-functional teams across the organization. This role requires a strong command of M&A practice, general corporate knowledge and exceptional drafting and negotiating ability.

Requirements

  • Enhance deal processes, advising on best practices, developing scalable procedures, and driving continuous improvement in diligence and execution workflows.
  • Exceptional negotiating and drafting experience with strong command of M&A market norms and transactional risk frameworks.
  • Exceptional communication and analytical capabilities, demonstrated by the capacity to articulate complex legal concepts clearly in both written and oral formats.
  • Highly collaborative with a service-oriented mindset helping to progress transactions to a successful closing.
  • Demonstrated ability to manage competing priorities in a fast-paced environment while maintaining a high standard of accuracy and judgment.
  • Flexibility to support broader corporate legal needs outside of M&A as business priorities evolve.
  • JD from a reputable law school; admitted to the New York Bar and in good standing.

Responsibilities

  • Draft, negotiate, and finalize a wide range of transactional agreements, including NDAs, term sheets, joint venture agreements, equity purchase agreements, and approval documents.
  • Drive and manage the full diligence process, including issue spotting, risk evaluation, coordination of internal stakeholders, and supervision of outside counsel.
  • Lead cross-functional workstreams, collaborating with Finance, Strategy, Tax, HR, Operations, and other internal partners throughout the transaction lifecycle.
  • Provide support for all aspects of global M&A, strategic investments, joint ventures, divestitures, and other corporate transactions.
  • Provide general corporate advise relating to various governance matters as well as past and current transactions.
  • Enhance deal processes, advising on best practices, developing scalable procedures, and driving continuous improvement in diligence and execution workflows.
