Position Summary: The Counsel/Senior Counsel role will offer comprehensive legal support to the company’s operational departments. We’re looking for a proactive individual who thrives in a collaborative environment while working independently. This person should be adept at identifying and raising issues for further consideration while also demonstrating solid legal judgment.

Requirements

  • J.D. from an accredited law school with strong academic credentials.
  • Minimum of seven (7) years of relevant experience in upstream oil and gas as a practicing attorney; prior in-house legal experience preferred.
  • Admission to a state bar with the ability to practice in-house in Texas.
  • Strong interpersonal skills: a self-starter and team player who works effectively with others at all levels and in all disciplines in a team environment.
  • Ability to manage multiple projects and meet deadlines in fast-paced environment.
  • Highly organized with the ability to work both independently and as part of a team, and to prioritize among competing projects for the timely delivery of legal services.
  • Excellent communication (written and verbal) and analytical skills with a strong ability to draft and review complex legal documents and apply legal advice in a timely and practical manner.

Nice To Haves

  • Regulatory experience in Utah and/or Texas is a plus.

Responsibilities

  • Act as legal advisor to operational departments including marketing, land, HSE, and production operations for matters affecting the day-to-day business.
  • Responsible for providing legal advice in a timely manner to operational departments regarding compliance with contractual, statutory, regulatory and other legal requirements.
  • Assist management in identifying legal and business issues and risks and provide creative alternatives to accomplish the business objectives.
  • Prepare, review and assist in the negotiation of various oil and gas contracts including leases, farmout agreements, joint operating agreements, landowner/royalty owner agreements, surface access agreements and gas, oil, and other marketing agreements.
  • As needed, assist with supervision of litigation and regulatory matters and proceedings.
  • Participate in continuing legal education programs to keep abreast of the legal and business developments impacting operations.
  • Advise the General Counsel and Assistant General Counsel on all significant legal matters, assist in the overall legal services to the Company and perform such other job-related duties and functions as requested by the General Counsel, Assistant General Counsel, or management.
