About The Position

Under the direction of the MHS Chief Legal Officer (CLO), the attorney selected for this position will be responsible for working with its corporate, technology, real estate and healthcare colleagues on a wide range of commercial, real estate, corporate and healthcare transactions. The position will be full-time and will include all facets of corporate and transactional matters, with a particular emphasis on: Negotiation and implementation of affiliations (joint ventures), including day-to-day operational and governance matters. Real estate and contract law. The attorney functioning in this role will work closely with MHS’s real estate, facilities and procurement teams and other hospital stakeholders to review, draft and negotiate a variety of contracts, with a focus on commercial leases, construction and facilities-related agreements, and contracts for general goods, services and equipment. Information technology and intellectual property matters, including the acquisition of software and equipment/hardware, artificial intelligence (including policies governing the use thereof), data governance and use, extension of Epic, co-branding, and joint venture agreements, as well as purchase orders, standards terms and conditions, statements of work, service level agreements, nondisclosure agreements, and intellectual property covenants. The attorney functioning in this role will also work with other members of the Office of Legal Affairs and IT teams of MHS on strategies and operational issues related to IT matters and complex transactions, as well as other matters as assigned. General commercial, legal and regulatory matters as assigned. Review and advise on operational contracts for various departments through-out the system. The Senior Counsel is expected to work collaboratively with fellow counsel and the department’s business partners at all levels of hospital management.

Requirements

  • Experience as an in-house counsel is preferred, but not required.
  • Admission to the Texas State Bar
  • In depth experience in information technology and contract law
  • Minimum of 5 years of related experience
  • Excellent assessment, communication, organization and teaching skills
  • This position is a full time position working at MHS’s Corporate Office in Dallas and in keeping with the remote work policy of the system and the Office of Legal Affairs.

Responsibilities

  • Advising clients on a wide range of corporate matters
  • Coordinate with the contracting office and business leaders on transactional matters, including contract negotiation and drafting
  • Managing real estate transactions, including purchases, sales, and leases
  • Conducting due diligence, draft agreements, and negotiating terms for various transactions
  • Managing client relationships and collaborating with clients to understand their needs and provide tailored legal solutions
  • Advising clients on legal and regulatory matters related to business operations and transactions
  • Researching and analyzing complex legal issues
  • Staying updated on relevant laws and regulations to ensure compliance and best practices.
  • Collaborate with other members of the MHS Office of Legal Affairs to enhance processes and promote compliance with legal standards and policies.
  • Conduct training sessions to equip MHS team members with the necessary legal knowledge and skills for their roles.
  • Other duties as assigned.
