Applied Materials is seeking a highly skilled, experienced, creative, and energetic team player to support IP licensing agreements, joint development and collaboration agreements, IP acquisitions and divestitures, and other complex transactions, and provide business and legal advice in connection with Applied’s strategic growth plans. This person must be comfortable interacting with business executives, product and development teams, our sales force, our customers, and external collaborators. This Senior Counsel level position will report to a Director in the Legal and Compliance Organization.

  • Providing business and legal advice to business stakeholders.
  • Framing, reviewing, drafting and negotiating a broad range of IP, commercial, and complex transactions, including IP licensing agreements, joint development and collaboration agreements, and product qualification agreements, to achieve desired business objectives.
  • Counseling business/sales team and other stakeholders regarding contract provisions and implications and assessing and mitigating legal/business risks (e.g., indemnifications, liability, etc.).
  • Partnering effectively with other groups in the Legal and Compliance Organization to deliver effective and comprehensive legal support to business stakeholders.
  • Manage outside counsel work product quality and budgets.
  • Actively participating in process and technology projects designed to improve service and efficiency within the Legal and Compliance Organization.
  • Juris Doctorate (JD) from an accredited and recognized law school.
  • 7+ years of relevant legal experience with a focus on IP licensing, joint development agreements, IP purchases and sales, royalty-bearing agreements, and other complex transactions.
  • Deep understanding of contract terms relating to creation and allocation of technology and IP rights; sound legal and business judgment.
  • Excellent negotiation skills, including first-hand experience leading negotiations.
  • Excellent written and verbal communication skills necessary to support a global business.
  • Ability to spot compliance and regulatory implications of new businesses.
  • Ability to work collaboratively across organizational boundaries and with a diverse group of colleagues in multiple countries.
  • Ability to travel occasionally.
  • Licensed to practice law in California.
  • Work experience in both law firm and in-house corporate legal departments.
  • Experience in semiconductor industry.
  • Experience in financing, investment, and M&A transactions.
  • Experience in software licensing, including open source software.
  • Registered US patent attorney.
  • Ability to translate business needs into contract language and creatively resolve business issues.
  • Passionate, proactive, highly motivated self-starter.
  • Excellent organizational skills, including attention to detail and ability to create specific action plans based on general guidance and deliver results.
  • Ability to see the big picture and identify and design-out problems from the outset; continuous improvement mindset.
