About The Position

York’s legal team is looking for a Senior Counsel to help drive our public company corporate and securities work. This is an exciting time in the company’s growth, and the role offers a unique opportunity to contribute to foundational elements of York’s program. The role will support and report to the Chief Legal & Administrative Officer and will be located in our Greenwood Village office (no remote option). The ideal candidate will have additional skills and experience such that he or she can provide legal assistance in other areas as needs present. These may include corporate transactions (M&A and financings), dispute resolution, supply chain matters or government contractor compliance.

Requirements

  • 6+ years of corporate securities and public company reporting experience at a premier law firm or 6+ combined years of experience at a premier law firm and in-house.
  • J.D. from an ABA accredited law school and membership in at least one U.S. state bar, in good standing.
  • Track record of increasing responsibility in professional environments and of achieving superior results.
  • Ability to streamline processes and provide practical guidance.
  • Creative problem-solving and an aptitude for providing sound and compliant advice while furthering business interests.
  • Comfort supporting rapid decision-making and execution.
  • Ability to exercise tact and diplomacy in a fast-paced, high-growth organizational setting.
  • Ability to multi-task, prioritize, and maintain composure in stressful situations.
  • Facility resolving complex matters through critical thinking, prioritization, and strategy.
  • Demonstrated excellence in writing and superior analytical skills.
  • Financial literacy, including the ability to apply a working knowledge of financial matters to promote and optimize business needs and results.
  • Experience working cross-functionally.
  • Willingness to perform routine tasks as well as to lead more complex projects.

Nice To Haves

  • The ideal candidate will have both law firm and in-house experience.
  • In-house experience at a controlled and/or emerging growth company is a plus.

Responsibilities

  • Provide advice and counsel regarding securities law compliance, public company reporting, and corporate governance.
  • Prepare and review SEC filings (10-K, 10-Q, 8-K, Proxy Statement, Section 16 filings, etc.) in collaboration with internal stakeholders, notably Finance and Internal Audit.
  • Coordinate internal working groups as necessary to support compliant and accurate reporting.
  • Plan and coordinate the annual meeting of stockholders in coordination with stakeholders.
  • Contribute to the development of internal controls and corporate governance programs; advise as to best practices and facilitate adoption throughout the organization.
  • Oversee related training programs, inclusive of insider trading, Red FD and Code of Conduct.
  • Advise regarding 10b5-1 trading plans and guidelines and pre-clearance processes; oversee and manage Form 4s and similar filings.
  • Monitor regulatory environment and ensure up to date policies and compliance advice.
