About The Position

The Senior Corporate Counsel, Mergers & Acquisitions (M&A) will manage and oversee all legal and regulatory compliance aspects of company mergers and acquisitions globally, from diligence through integration. It will require frequent interaction and collaboration with outside legal counsel and internal shared service teams. The position will be shared between the AIT corporate legal and global compliance departments, with direct reporting through corporate legal and indirect reporting through global compliance.

Requirements

  • 3+ years work experience with mergers & acquisitions or in a corporate environment with M & A focus required.
  • Licensed to practice law in the State of Illinois is required
  • Juris Doctorate degree (JD) is required.

Responsibilities

  • Provide guidance and support to the organization regarding the integration of acquired entities by outlining legal and compliance risks, opportunities, and actioning identified items to ensure a successful integration
  • Communicate AIT legal and compliance policies to acquired entities and work closely with Legal and Compliance team members to implement new procedures, as needed
  • Review and coordinate legal and regulatory due diligence for target acquisitions and communicate findings on topics including but not limited to insurance, contracts, business registration and licensing, governance, past and ongoing litigation and claims, and trade compliance.
  • Direct post-acquisition corporate governance activities (director changes, company name changes, entity mergers)
  • Coordinate with outside legal counsel on the structure and drafting of acquisition purchase agreements
  • Review acquisition related confidentiality agreements and letters of intent
  • Manage the M&A regulatory approval processes with respective local team members, outside counsel, and governing bodies to ensure compliance with any required government filings and approvals.
  • Identify laws, rules, and regulations that may impact the business for M&A transactions based upon specific geographies
  • Performs other duties as assigned
  • Complies with all policies and standards
