About The Position

We are seeking an experienced Senior Corporate and Commercial Counsel to join our dynamic legal team at Tools for Humanity. In this role, you will help lead and partner closely with executive leadership, finance and business teams on corporate governance across TFH’s parent company and global subsidiaries, corporate and securities law issues (particularly regulatory and securities law considerations for blockchain and tokenized assets), and strategic transactions (including M&A and investments) as well as supporting commercial transactions. The ideal candidate combines strong technical training at a leading law firm with practical in-house judgment and business acumen, exercises sound judgment, operates with precision and discretion, and is comfortable advising senior stakeholders in a fast-paced, evolving environment. Requirements

  • Relevant Experience: 5–10+ years as a Corporate, Tech Transactions, M&A, or Emerging Companies attorney at a top firm or in-house (a combination is even better!). No prior Web3 or blockchain experience required.
  • In-Person: Able to generally be in the office in San Francisco, CA.
  • Communication & Relationship Building: Excellent communicator with the ability to present complex legal issues clearly and build high-trust relationships across teams and with external partners.
  • Judgment & Integrity: Demonstrates sound judgment, professionalism, discretion, and integrity in all interactions.
  • Adaptability & Initiative: Positive and collaborative attitude with intellectual curiosity, resourcefulness, and comfort working in a fast-paced, evolving environment.
  • Attention to Detail: Exceptional attention to detail and organizational skills, with a track record of improving processes.
  • Execution & Problem-Solving: Skilled at managing multiple priorities and solving both traditional and novel legal challenges.
  • Willingness to Travel: Open to occasional international travel and flexible scheduling based on team needs.

Responsibilities

  • Corporate & Securities
  • Provide strategic guidance on corporate and securities matters across multiple jurisdictions.
  • Structure and execute M&A transactions, investments, and other strategic initiatives.
  • Partner closely with Finance and stock/token administration teams on equity and token matters.
  • Prepare and manage board materials, charters, consents, resolutions, and related governance documentation.
  • Manage external counsel on domestic and cross-border corporate matters.
  • Commercial – Partnerships, Customers & Vendors
  • Support strategic partnership and customer agreements, SaaS and other vendor contracts, and other complex commercial transactions as needed.
  • Collaborate closely with executives and business leads to structure, document, and negotiate joint ventures and other novel deal types.
  • Contribute to the development of commercial playbooks, templates, and workflows that streamline contracting while protecting company interests.
