About The Position

Through products like World ID, World App, and the Orb, the platform is creating a new foundation for the internet—one where real people can participate, transact, and be recognized in an age increasingly shaped by AI. Tools for Humanity is hiring a Senior Corporate and Commercial Counsel to join its Legal team and partner closely with executive leadership on corporate governance, strategic transactions, and complex commercial matters. This role sits at the center of a fast-moving global organization and offers meaningful exposure to M&A, investments, securities considerations, and high-impact partnerships. In this role, you’ll help lead corporate and securities matters across parent and subsidiary entities, support equity and token-related governance, and structure strategic initiatives including acquisitions and investments. You’ll work closely with Finance and leadership to manage board materials and corporate documentation, while overseeing external counsel on domestic and cross-border matters. On the commercial side, you’ll support strategic partnerships, customer agreements, vendor contracts, and novel deal structures—collaborating directly with business leaders to negotiate and execute transactions. You’ll also help develop scalable playbooks, templates, and workflows that streamline contracting while protecting company interests. The ideal candidate brings 5–10+ years of experience in corporate, M&A, tech transactions, or emerging companies work at a top law firm and/or in-house. You’re a clear communicator with strong judgment, exceptional attention to detail, and the ability to operate confidently with senior stakeholders in fast-changing environments. Prior blockchain experience is not required—this role is for a pragmatic, business-minded legal partner who enjoys solving new problems and helping build foundational infrastructure for the future.

Requirements
