About The Position

This role will help to establish and lead Americares global contracts management function. This newly created role will be responsible for designing, implementing, and managing an organization-wide Contracts Lifecycle Management (CLM) framework. Additionally, this role supports the Legal, Compliance, and Risk Management (LCRM) department in contracts review, legal issues, dispute and litigation management.

Requirements

  • At least 7-10 years’ experience leading contracts management (including developing or implementing a contracts lifecycle management process or system from the ground up)
  • Extensive experience developing and overseeing the entire life cycle of contracts management for the full enterprise needs of non-profit organizations.
  • Demonstrated experience in drafting, reviewing, and negotiating agreements.
  • Excellent legal research and writing skills.
  • Strong prioritization and time management skills to manage multiple concurrent projects effectively.
  • Expertise in applying project management methodologies and best practices to meet deadlines, optimize resources, and successfully drive outcomes.
  • Skilled communicator with internal and external stakeholders.
  • Effective assessment and issue resolution skills to best address needs and scope of contracts and projects in a fast-paced environment.
  • Ability to work independently in a remote environment while also successfully being a team player.
  • Impeccable attention to detail.
  • Advanced knowledge of Lexis Nexis, Microsoft 365 package, SharePoint and contract management software solutions.
  • This role requires occasional travel for annual meetings and activities.
  • This role requires U.S.A work authorization.

Nice To Haves

  • Fluency in languages that are spoken in at least one of our core locations (India, Philippines, Tanzania, El Salvador, Colombia, etc.), in addition to English.
  • NCMA certification or similar contracts management certification preferred.
  • Prior contracts management experience in an international humanitarian/development organization.

Responsibilities

  • Lead the development and implementation of a contracts lifecycle management (CLM) framework, including workflow mapping, templates, approval protocols, collaborating with stakeholders, assessing and selecting desired software features, change management and training, and related tasks.
  • Manage the full CLM process, ensuring consistency, compliance, efficiency, risk mitigation, alignment with department and business objectives, integration with key stakeholders, such as Procurement, and timely handling of contracts.
  • Lead the research, selection, and rollout of a software solution to centralize contract management processes and contracts repository.
  • Define and document end-to-end processes related to CLM, and develop any interim solutions for contracts management.
  • Maintain assigned templates and template development and revision processes. Assist with revisions of templates as needed.
  • Review assigned contracts, such as service agreements, vendor contracts, consulting agreements, NDAs, event contracts, SOWs, MOUs, engagement letters, and other standard form contracts.
  • Collect, monitor, and analyze key contract metrics, with a lens towards enhancing efficiencies and quality.
  • Assist with conducting Labor & Employment investigations and other employment related matters at the direction of counsel.
  • Support practice areas, domestically and internationally, such as: Trust and Estates, Intellectual property/Trademarks, Marketing/Communications, Development, Supply Chain/Logistics, and Real Estate.
  • Drive strategic projects, particularly those related to CLM, for the LCRM and collaborate with cross-functional stakeholders.
  • Serve as team Records Custodian, managing LCRM SharePoint site and maintain corporate records, filings, and documents.
  • Provide support for litigation management, dispute resolution, external investigations and regulatory matters, as needed.
  • Conduct legal research.
