The Commercial Counsel serves as a key legal partner to the Sales, Customer Success, Finance, and Product teams, supporting the company’s SaaS revenue operations. This role is primarily responsible for drafting, reviewing, and negotiating customer-facing commercial agreements while balancing risk mitigation with business enablement. The ideal candidate brings strong experience in SaaS contracting, data privacy, and enterprise sales support within a fast-paced technology environment.

Requirements

  • Juris Doctor (JD) from an accredited law school and active admission to practice law.
  • 5–8+ years of legal experience, with significant in-house or law firm experience focused on commercial technology transactions.
  • Strong experience negotiating SaaS subscription agreements and enterprise customer contracts.
  • Working knowledge of data privacy laws and common SaaS regulatory considerations.
  • Ability to operate in a fast-paced, sales-driven environment with sound business judgment.
  • Excellent drafting, negotiation, and communication skills.

Responsibilities

  • Draft, review, and negotiate SaaS subscription agreements, MSAs, order forms, DPAs, NDAs, partner agreements, and related commercial documents.
  • Partner closely with Sales and Customer Success teams to support deal strategy and contract negotiations.
  • Provide practical, risk-balanced guidance to accelerate deal cycles while protecting the company’s interests.
  • Develop and maintain standardized contract templates, fallback positions, and playbooks.
  • Support RFP and security questionnaire responses in coordination with cross-functional teams.
  • Advise on data processing terms, data protection addenda (DPAs), and cross-border data transfer mechanisms.
  • Ensure customer agreements align with applicable data protection and cybersecurity laws (e.g. GDPR, CCPA).
  • Collaborate with Information Security and Product teams to ensure contractual commitments align with operational capabilities.
  • Identify contractual risk trends and recommend scalable solutions.
  • Provide training to Sales and internal stakeholders on contracting processes and risk awareness.
  • Assist in maintaining internal contracting workflows and approval processes.
  • Partner with Finance on revenue recognition considerations and commercial terms.
  • Support Product and Engineering teams with customer commitments and service descriptions.
  • Manage outside counsel as necessary for specialized commercial matters.
